<IncomeBasedCriteria>Not applicable as St. Joseph's Hospital follows Federal Poverty Guidelines (FPG) established by the US Department of Health and Human Services to determine eligibility for providing charity and discounted care to low-income uninsured and underinsured individuals. Hospital Charity Care guidelines specify that a patient's assets and net worth are considered for Charity Care. Patients with 400 percent of the FPG qualify for a portion of Charity Care. Patients with 200 percent of the FPG qualify for all Charity Care.</IncomeBasedCriteria>
<AnnualCommunityBenefitExpln>The annual St. Joseph's Hospital community benefit report is available by writing to: St. Joseph's Hospital Communications Department, 2661 County Highway I, Chippewa Falls, WI 54729.</AnnualCommunityBenefitExpln>
<CostingMethodUsed>The costing methodology used to calculate St. Joseph's Hospital's Charity Care is calculated from the costs audited by an external independent auditing company. These costs are applied to develop cost to charge ratios for each department which are compared to actual collections, and the difference determines community benefit. Medicaid reimbursement is determined by actual payments received for dates of service included in the fiscal year. The cost to service Medicaid patients is based on the hospital's cost to charge ratio to determine the cost to care for Medicaid patients. The resulting shortfall is considered Community Benefit.</CostingMethodUsed>
<SubsidizedHealthServicesExpln>St. Joseph's Home Health and Hospice and Occupational Health services were included in the subsidized health services calculation resulting in an additional expense (loss) of $217,684.</SubsidizedHealthServicesExpln>
<PercentOfTotalExpenseExpln>The percent of St. Joseph's Hospital Charity Care and certain other benefits at cost as a percent of total expenses less bad debt is 12.01 percent.</PercentOfTotalExpenseExpln>
<BadDebtFootnote>St. Joseph's Hospital strongly believes that its Charity Care and the related Community Benefit obtained from such care are understated because of those patients that potentially qualify for Charity Care but do not wish to apply for it. In addition, some care is not classified as charity due to missing documentation on patient resources. Thus, the hospital's bad debt includes a portion that could be classified as Charity Care if application for such care was sought and/or completed. The hospital continues to implement processes, procedures and systems to more effectively determine Charity Care, reduce a patient's documentation requirements, and ease the patient's emotional burden in applying for Charity Care. This will provide a more accurate reporting of Charity Care services provided by the hospital. Bad debt expense is NOT considered, nor is it included, in the hospital's Community Benefit reporting. The hospital's Community Care follows the Catholic Health Association (CHA) guidance for determining Community Benefit, which allows the portion for which the cost to service for Community Care patients to be considered Community Benefit. The cost to service (for Community Care patients) is based on the hospital's cost to charge ratio to determine the cost to care for Community Care patients. The resulting cost is considered Community Benefit. Total bad debt expense at cost was $ 1,789,660.</BadDebtFootnote>
<ShortfallAsCommunityBenefit>The hospital continually strives to provide excellent patient care in the most cost effective fashion. Nonetheless, the Medicare program, in many cases, does not provide payment that covers the full cost of that care. Since it is the mission of the hospital to respond to community need, hospital management continually advocates for improved Medicare payment so that the cost of quality care (to those patients that are not able to afford it) is not compromised and is fairly subsidized by all payers. We believe the Medicare shortfall is an important contribution made by the hospital to the health and well being of the community. Our mission calls us to serve all patients with the highest possible quality and efficiency, even If we are not fully paid for doing so. Medicare shortfalls are NOT considered, nor are they included, in the hospital's Community Benefit reporting. However, Medicaid is included in the hospital's Community Benefit reporting. We follow the Catholic Health Association guidance for determining Community Benefit, which allows the portion for which Medicaid reimbursement falls short of the cost to care for Medicaid patients to be considered Community Benefit. The total Medicare shortfall at cost was $ 5,223,118.</ShortfallAsCommunityBenefit>
<DebtCollectionPolicy>Any patient that receives services at St. Joseph's Hospital has an opportunity to complete a financial application for Charity Care. If an account meets the qualifications for financial assistance, Patient Accounting adjusts the patient's account accordingly. St. Joseph's Hospital also works closely with collection agencies in determination if an account that was sent for collections would qualify for Charity Care. St. Joseph's Hospital has a written debt collection policy that contains provisions on collection practices to be followed for patients who are known to qualify for charity care or financial assistance. The Charity Care application process requires proof of income and assets.</DebtCollectionPolicy>

<NeedsAssessment>St. Joseph's Hospital is a small-town community hospital that maintains a strong, committed relationship with Chippewa Falls and the surrounding communities with an emphasis on relational communication. As a community hospital, St. Joseph's Hospital is able to connect with members of the communities it serves in a way that would be difficult for larger facilities. Community residents have access to hospital administration, board members and colleagues in order to voice their opinions, needs and desires. This enables hospital administration to hear health care needs firsthand. Colleagues of the hospital are actively involved in area organizations, agencies and groups that the hospital serves which helps them serve as listening posts in order to be aware of health care concerns of community residents. Tools and processes for capturing and assessing community needs data and listening to stakeholders include: - Each month, the hospital tracks all trends associated with inpatient, outpatient and emergency room clinical activity. - Focus groups comprised of community members help capture community needs data (including awareness, perception and utilization) and assess regional health needs. - Listening Posts: Members that represent a cross-section of the community make up the hospital's board, advisory council, hospital foundation board, and volunteer partners board and serve as listening posts to communicate community health care issues and needs to hospital leaders. - Research data on chronic health conditions, preventative health behaviors and community health care needs are gathered monthly by the National Research Corporation (based in Lincoln, NE) to provide hospital leaders with data on awareness, community perception, utilization and trends for quantitative and qualitative health care segmentation. The chronic health conditions surveyed are those such as asthma, diabetes, stroke, smoking, osteoporosis, high cholesterol, high blood pressure, depression, and heart disease. Tracked preventive health behaviors include weight loss programs, smoking cessation programs, osteoporosis screening/testing, diabetes screening, blood pressure tests, cholesterol tests and mammograms. Data also is tracked and trended and is useful in assessing future community health care needs. - Regional and local media outlets are monitored for health care articles related to community needs, community benefit, public policy, and points of view such as print media letters to the editor and editorials, and media on Catholic health care mission. As an organization, the hospital's leadership directs sponsorship and support of forums for community leaders and the public to express viewpoints, dialogue, envision and make community strategic/action plans. In less formal ways, hospital leadership members interface with the community through memberships in community groups, professional societies and voluntary associations with other public organizations. These activities provide hospital leaders with insights to anticipate public health care concerns and to assess possible societal impacts of health care facilities, services and operations. As a measure of social accountability, the hospital's leadership uses the above data collection tools in decision-making to allocate financial resources to programs and services that will provide the most community benefit, consistent with organizational Mission, Vision and Core Values. St. Joseph's Hospital has been the primary funder for the healthy communities' initiative Chippewa Health Improvement Partnership (CHIP) since the organization's inception. This initiative conducts periodic community needs assessments (the most recent of which was conducted during fiscal year 2010 and will include results of 600 respondents on a detailed public health survey for use during FY2011). CHIP's community needs assessments utilize evidence-based strategies to meet identified community needs and to improve public health and safety. CHIP utilizes several strategies for the community needs assessments including direct telephone survey interviews of Chippewa County residents, key informant interviews, community surveys and focus groups, among others. This information is relayed back to St. Joseph's Hospital and the community at large. CHIP projects and other hospital initiatives are created after evaluating health data gathered from needs assessments and in alignment with St. Joseph's Hospital and the HSHS priorities. CHIP and Hospital leaders also monitor local, state and national public health data. Beginning in 2011, the newly consolidated United Way of the Greater Chippewa Valley will conduct a needs assessment that will include Chippewa and Eau Claire Counties, and hospital leaders will be involved in the project and in community action plans that focus on areas of health, wellness and safety. CHIP is both a public and private collaborative community endeavor that serves as a catalyst for the enhancement of community health and quality of life through educational and preventative initiatives. CHIP Identifies health needs and establishes priorities from which collaborative activities are created to help improve the health status and quality of life of the community and surrounding areas. CHIP was a partner in the formation and development of the Chippewa County Dental Foundation, Inc., a partner in the formation and development of the Marshfield Clinic Chippewa Dental Center, and a partner in the formation and expansion of the Open Door Clinic (a free clinic). CHIP also developed and maintained the Chippewa County resource website and led the effort to obtain cardiac defibrillators for community facilities. In addition, CHIP has ongoing involvement with the following community endeavors: 1) Chippewa County Asthma Coalition; 2) Chippewa Valley CARE Coalition; 3) Partnership for Healthy Choices; 4) Wisconsin Oral Health Coalition; 5) Council on Homelessness & Hunger; 6) Chippewa County Mental Health & Substance Abuse Community Committee; 7) Chippewa Falls Chamber of Commerce; 8) Chippewa County Economic Development Group. As our fiscal year 2010 came to a close, hospital leaders, together with leaders of Sacred Heart Hospital in Eau Claire, WI, were preparing a formalized twelve-week "Imagining the Future 2016" listening campaign to gather information about community needs and input about future health care. The fall 2010 initiative gathered input from over 1,600 community members and stakeholders representing multiple cross-sections of the community. The visioning sessions captured the input of a diverse population in Eau Claire and Chippewa Counties and surrounding areas and included open community meetings, focus groups that included L.E. Philips Libertas Treatment Center residential clients, members of the Eau Claire Area Hmong Mutual Assistance Association, Amish and Mennonite farmers and communities, minorities and the underserved, health care professionals, leaders in the faith community, seniors, children and other diverse groups. Community members were able to follow discussions on both hospital websites and provide input in online discussions. Extensive data and comments are currently being collected and processed and an internal and external team (made up of community volunteers) will help assist in the implementation of initiatives and activities that the community indicated would enhance their experience of health care in 2011.</NeedsAssessment>
<PatientEducationAssistance>St. Joseph's Hospital partners with a patient advocacy company, HRS Erase, to identify third party programs and evaluate patient eligibility. Once a program is identified, the advocate helps the patient complete the application process and will even provide transportation to state, federal, or other agencies. Potential recipients are identified during the registration process, or upon referral from credit counselors. The hospital informs all patients of our Charity Care Program during the registration process. A brochure and/or application are provided to each patient. The hospital employs Financial Counselors to assist patients in the application process. Brochures and applications are also available on the hospital's website. The hospital's Social Services staff also follows up with inpatients with no insurance to assess if they would be eligible for other programs such as Social Security Disability, Medical Assistance, and Veteran's benefits. Patients are also educated about community programs such as Starting Points, Open Door Free Clinic, Community Health Partnership, Aging/ Disability Resource Center, Marshfield Clinic Community Care/Family Health Services.</PatientEducationAssistance>
<CommunityInformation>St. Joseph's Hospital's primary service area is Chippewa County with 21,000 households and an estimated 2009 population of 60,000 according to the US Census. The largest percent of population is in the age group of 25 to 44 years - younger adults starting families. The largest employers are in the field of information technology, health care, agricultural and industrial. A primary rural area, the largest community is the city of Chippewa Falls with a population of 14,000. The geographic area is 1,041 square miles. St. Joseph's Home Health and Hospice serves patients referred by many hospitals in an 11-county region of western Wisconsin which includes a 50-mile radius service area. Nearly 20 percent of St. Joseph's home health patients live in Medically Underserved Areas/Populations (MUA/P), areas or populations designated by Health Resources and Services Administration (HRSA) as having too few primary care providers, high infant mortality, high poverty and/or high elderly population. Pediatric patients in need of speech, physical, occupational therapy services receive the therapy and treatment they need through S.P.O.T.S. House. A program designed to assist young patients with diverse developmental conditions, it is unique in its treatment plan that includes parents actively involved during onsite therapy sessions. When compared to state and national rates, Chippewa County and other counties in western Wisconsin have a high rate of adult obesity (using the standard measure of body mass index of 30 or higher). According to the 2008 Centers for Disease Control and Prevention's National Diabetes Surveillance System, the percentage of adults who are obese is nearly 30 percent. Obesity has become one of the most important public health problems in the United States and as the prevalence of obesity increases, so does the prevalence of co-morbidities, including abnormalities in the endocrine, cardiovascular, gastrointestinal, pulmonary, orthopedic, neurologic, dermatologic, and psychosocial systems. Certain co-morbidities, such as diabetes, once considered "adult diseases," are now regularly seen in obese children. Moreover, obesity during adolescence increases the risk for disease and premature death during adulthood, independent of obesity during adulthood. Through the hospital's CHIP outreach, health and wellness education about the importance of exercise and nutrition helps people take steps to control obesity and lower the risk of health complications.</CommunityInformation>
<CommunityBuildingActivities>The hospital was involved in numerous community building activities that address the root cause of health care problems or work to lay a foundation for a healthier, safer, and better educated community. As a Catholic hospital, St. Joseph's recognizes its responsibility to meet important community needs - over and above providing excellent patient care. This commitment has always been a key part of the organization's Mission and an integral part of its core values. To track service to the community, St. Joseph's Hospital follows guidelines adopted by the Catholic Health Association (CHA). To provide for consistent measurement, St. Joseph's uses the Community Benefit Inventory for Social Accountability (CBISA) standard established by CHA to record and measure progress on community benefit activities. An annual community benefit report is presented to the public and details activities in four specific categories: 1) Community Health Services, 2) Health Professions Education, 3) Subsidized Health Services, and 4) Donations. St. Joseph's Hospital, together with Sacred Heart Hospital in Eau Claire, WI, took the lead on the following projects and collaborated with other local organizations: - Broadband network expansion: Many of today's critical lifesaving health care applications, mission critical public safety technology and educational programs require ultra high speed broadband. Because of this, St. Joseph's Hospital is committed to helping expand the area's fiber optic infrastructure for high speed broadband access. This expansion enhances life-saving treatments and the health and wellness of residents in rural and other underserved areas through telemedicine, tele-monitoring, and through the high speed exchange of critical emergency medical information. St. Joseph's Hospital and Sacred Heart Hospital in Eau Claire, WI, are members of the Chippewa Valley Inter-networking Consortium (CINC), a regional Community Area Network work group formed in 1999 that is committed to "Broadband Serving the Public Interest." CINC coordinates regional communication infrastructure projects with city, county and state government, educational institutions, libraries, non-profits, and technology providers to facilitate network creation that is innovative, competitive, and sustainable. Through a coordinated regional communication infrastructure, CINC promotes economic development, expands educational opportunities and improves the availability and efficiency of government services. CINC is an innovative Community Area Network with access to ECB frequencies, a robust backbone, and a developing vision of a public and private WiFi initiative. CINC projects begin in a conceptual phase with a timeline and objectives, and shared interests and resources help identify technical solutions. Members lower costs by sharing infrastructure and working together to solve mutual problems. St. Joseph's Hospital, Sacred Heart Hospital, and 16 other organizations, have collaborated to create a Community Area Network of 70 miles of fiber-optic cable with 150 connections. This network provides a multitude of fiber-optic services and dual 10 GBps high speed redundant connectivity between St. Joseph's Hospital in Chippewa Falls and Sacred Heart Hospital in Eau Claire-a bandwidth that could not be purchased commercially at any price, and which can easily accommodate telemedicine and other advanced applications. In this fiscal year, a federal Broadband Technology Opportunities Program "Stimulus" grant application was prepared with CINC as a major partner with hundreds of hours in grant preparation provided by the hospitals. The application, which was awarded in the following fiscal year on 8/18/2010, totaled $32.3 million for Wisconsin to improve high-capacity Internet access. The grant project, led by the University of Wisconsin Extension, provides approximately $11.5 million to western Wisconsin for a demonstration project to construct 200 miles of fiber-optic cable connecting city/county government, public safety agencies, health care providers, libraries, schools and other key community sites. The new construction enabled by this grant will also provide more than 1,300 square miles of ultra high speed 4G+ WiMax (wireless) coverage in Eau Claire and Chippewa Counties to serve city/county governments, public safety, education and health care needs. The project will also improve the Chippewa Valley's fiber-optic access along corridors from the Chippewa Valley to Superior, Menomonie, Mondovi, Wausau, Marshfield and Stevens Point. By helping lead the Chippewa Valley's demonstration project grant application and hosting weekly organizational meetings, St. Joseph's Hospital and Sacred Heart Hospital helped secure federal funding to accelerate networking infrastructure expansion across western Wisconsin which includes rural and critical access hospitals in surrounding communities. To advance this grant application project, the hospitals collaborated closely with Cooperative Educational Service Agency 10 (CESA 10), University of Wisconsin-Eau Claire, County of Chippewa, Chippewa Falls Area Unified Schools District, City of Chippewa Falls, City of Eau Claire, County of Eau Claire, Eau Claire Area Schools and the Indianhead Federated Library System. - Outreach to Farm Families: St. Joseph's Hospital in Chippewa Falls, Wisconsin, has long appreciated the importance of the surrounding farming community. As a hospital that serves rural areas, it hosted a Farm Family Day focusing on conservation, finances, carbon credits, and safety measures. More than 60 Chippewa County farmers attended the annual event for free blood pressure and cancer screenings, educational health and farm safety information, sustainable conservation, new technology, advocacy and conservation. - Chippewa 2010: An effort of the hospital's Chippewa Health Improvement Partnership, this project established and implemented community health and wellness goals in the fiscal year and into the future. - Supporting Local Farms by Buying Local Food: The hospital collaborated with farmers to form and expand a cooperative to enable institutions to source locally produced and processed food: Hospital leaders believe local food is "good medicine" because it is fresh and has less preservatives. To improve health and wellness, the hospital is purchasing local food to serve patients and cafeteria patrons. Along with Sacred Heart Hospital, St. Joseph's partnered with nonprofit River Country Resource Conservation and Development Council to lead a regional effort to remove barriers to allow institutions to source local food to support the local economy. Continued hospital-River Country collaboration helped the Co-op secure a competitive $54,659 USDA Value Added Producer Grant to expand the local food market by increasing the number of farmer producers and institution buyers. St. Joseph's and Sacred Heart are proud to be USDA Demonstration Site hospitals in the grant to pilot new local food products for the Producers & Buyers Co-op to link local farms and other institutions in the community. To create a market, the hospitals have pledged 15 percent of their combined food budgets to purchasing food that is produced, processed and transported locally. The hospitals' leadership has helped remove barriers to farmers selling their local food to institutions and has opened up new markets for local family farms such as: Public schools; universities and colleges, hospitals and skilled nursing facilities; businesses that provide cafeteria services.</CommunityBuildingActivities>
<OtherInformation>Through its varied programs, St. Joseph's Hospital provides hope and healing to its immediate community and to many surrounding rural and small town communities in the tradition of the Hospital Sisters of St. Francis. As a healing ministry of the Catholic Church and an affiliate of the Hospital Sisters Health System (HSHS), St. Joseph's is committed to delivering high quality, compassionate, and cost-effective health care services to all. The hospital was founded over 125 years ago to improve the health of its community and the surrounding area by bringing Christ's healing presence to people who are sick, poor, and disadvantaged. Because of the hospital's purpose and tradition, it is organized to promote the health of Chippewa Falls and surrounding areas. The hospital is governed by a board of directors comprised of 11 community members, none of whom are employees or contractors of the hospital. The hospital is also supported by community input that includes: Advisory Council members consisting of 25 community members; The Friends of St. Joseph's Hospital Foundation Board consisting of 15 community members; a Volunteer Partners Board consisting of 15 members, and actively supported by over 500 local citizens who volunteer their time and talents in support of the hospital and its Mission. All boards meet bi-monthly or quarterly and consist of community business leaders, law enforcement members, and representatives with backgrounds in academic, legal, civic and social service disciplines. In this fiscal year, the hospital began planning the creation of a new community team to help implement the 'Imagining the Future 2016' listening campaign findings. This team will serve in an advisory capacity to prioritize new initiatives learned from the campaign that will be aimed at enhancing healthcare delivery and the patient experience to better meet the needs of the community. These bodies provide accountability and transparency and ensure that St. Joseph's Hospital is meeting community needs and responding to needs identified in the assessment process described under #2 above. Also consistent with its exempt purpose, St. Joseph's has a medical staff of 100 physicians with privileges that are available to all qualified physicians in the area. In addition, the hospital operates an Emergency Department that is open 24 hours a day, seven days a week to all persons regardless of their ability to pay, and is being expanded to accommodate a growing regional population. As a not-for-profit hospital, St. Joseph's reinvests surplus funds into its mission and health of the community rather than distributing them as profits to shareholders or individuals. Funds not committed to ongoing operations are generally used to upgrade facilities, secure new technologies, improve patient care, conduct medical education, and support initiatives designed to promote health for all. For example, St. Joseph's is currently working with its parent organization, HSHS, to implement a Care Integration strategy to enhance quality and improve coordination of care both inside the hospital and in the community. With a growing number of physician partners supported by investments in information technology, Care Integration helps coordinate care, improve health outcomes, create new efficiencies, slow the rate of increase in health care costs, and help ensure that patients (especially those with chronic conditions) receive the care they need in a timely and consistent manner. St. Joseph's devotes significant resources to access for patients who cannot afford care. In the fiscal year beginning July 1, 2009 and ending June 30, 2010, St. Joseph's provided over $6.45 million in community benefit services, including charity care at cost, unpaid costs of Medicaid and other public programs, and a number of programs designed to enhance access and improve community health. Additionally, during this period, St. Joseph's provided $6.4 million (at cost) in excess of Medicare payment for health care services. Community Benefits provided by St. Joseph's Hospital include programs aimed at improved access and health for community residents. In many cases, these reflect intentional partnership efforts with other community organizations, and are often led and supported by St. Joseph's Hospital. For example, the multi-organizational broadband initiative described under #5 above will not only bring internet connectivity to multiple community organizations across western Wisconsin, but will also accelerate the exchange of critical health information (including medical records) between hospitals, physician offices, and other provider settings. This is especially important in the case of imaging and telemedicine technologies that require broadband capabilities. With broadband in place, physicians and other providers across the region will be better able to coordinate care, provide vital services remotely, and exchange medical record information electronically. In turn, this will enhance both the quality and the access of care for families (many of whom are economically disadvantaged) living in rural areas. As noted above under Question #2, St. Joseph's Hospital has been the primary funder for the healthy communities' initiative Chippewa Health Improvement Partnership (CHIP). CHIP is a collaborative endeavor striving to enhance the quality of life of the residents of Chippewa County, through educational and preventative initiatives promoting wellness and good health. CHIP identifies health needs and establishes priorities from which collaborative activities are created to help improve the health status and quality of life of our community. Projects include: Challenge Chippewa, an initiative to promote lifelong fitness and wellbeing with a focus on childhood obesity and decreasing the consumption of sweetened beverages; Show and Tell, an initiative that empowers parents with awareness and skills to effectively discuss issues related to underage drinking with their children, and promotion of the "Parents Who Host Lose The Most" campaign; Fall Prevention, providing resources and information to health professionals and the general public on fall prevention and safety issues; Youth Issues Committee, supporting community environments that support positive youth development with a specific focus on Service Learning and Volunteerism; Chippewa County Jail Project, enhancing the quality of life of Chippewa County Jail inmates and their families/friends by providing resource information, health education and programming; Community Education, providing health education seminars to the general public. St. Joseph's CHIP is also involved in the following community endeavors: - In this fiscal year, St. Joseph's Hospital began construction for a new Emergency Services Area that will be completed in January, 2011. Construction will expand the area from 5,000 square feet to 13,000 square feet, including added treatment and trauma rooms. The addition was needed in response to projections of increasing population growth in Chippewa County. In this fiscal year, the hospital sees between 16,000 and 17,000 emergency visits annually and this number is projected to increase to 20,400 emergency visits by the year 2017. St. Joseph's is the only Level III trauma center in Chippewa County. - In this fiscal year, planning began for a new Center for Wound Care and Hyperbaric Medicine on the hospital's second floor. The center will be home to two hyperbaric chambers that will greatly enhance the wound care program provided by St. Joseph's Hospital the past 15 years. Responding to this community need, the hospital will be one of only two providers in the region offering much needed hyperbaric medicine to patients with hard to heal wounds. Construction will begin in December 2010 with a mid-March 2011 projected opening date for full operation. - CHIP has a designated community action team that has initiated a community awareness campaign regarding the negative effects consumption of sweetened beverages has on healthy weight and oral health, particularly in young children. - Alcohol abuse was the second leading risk factor identified by a recent Chippewa County Community Needs Assessment. Wisconsin also ranks number 50 or the worst state in the nation for binge drinking in people over age 18 years. CHIP has initiated a community awareness campaign to educate the public on the risks of underage drinking as well as a task force on mental health and substance abuse issues. The hospital's L.E. Phillips-Libertas Treatment Center continues to offer free monthly community education programs focusing on AODA and mental health issues. In addition to the above collaborative efforts, examples of community benefits provided by St. Joseph's and quantified in Part I (Question 7) include: - Wisconsin ranks 34th in the nation for the percentage of adults with heart disease. <AffiliatedHealthCareSystem>St. Joseph's Hospital is an affiliate of the Hospital Sisters Health System (HSHS). Since 1885 it has been meeting patient needs in western Wisconsin with the latest medical innovations and technology, together with a Franciscan whole-person healing tradition. HSHS is a Roman Catholic health care mission founded to continue the healing ministry of Jesus Christ. Sponsored by the Hospital Sisters of St. Francis, HSHS provides state-of-the-art health care framed in traditional values taught by St. Francis and St. Clare of Assisi. It is dedicated to serving all people, including the poor and the needy, at each of its 13 Local Systems in Illinois (Belleville, Breese, Decatur, Effingham, Highland, Litchfield, Springfield and Streator) and in Wisconsin (Chippewa Falls, Eau Claire, Sheboygan and two in Green Bay). The foundational mission principles of HSHS embody the belief that every life is a sacred gift and every human being is a unity of body, mind and spirit. Our health care ministry calls on us to foster healing, serve with compassion, and promote wellness for all persons, with special attention to our neighbors who are sick, poor, underserved, and most vulnerable. These principles have made it possible for HSHS to provide high quality, cost-effective and compassionate health care for millions of people in Illinois and Wisconsin. Our health care ministry consists of 13 hospitals and numerous physician partners committed to continuing the healing ministry of Jesus Christ. Beyond functioning as a primary source for health care in the 12 primary communities we serve, HSHS also provides a wide array of Community Benefits that expand residents' access to health care, enhance their overall health status, and further medical education. In the Fiscal Year that ended June 30, 2010, HSHS hospitals provided $152.2 million in Community Benefits (or 8.5% of total expenses), an increase of $28 million from FY 2009. Of this amount, $32.3 million was provided for charity care and $89.2 million was the amount of unreimbursed care provided under the Medicaid program. In addition, HSHS hospitals provided $159.3 million in health care services primarily to the elderly beneficiaries of the Medicare program in excess of governmental and managed care contract payments. HSHS hospitals also recorded $95 million in uncollectible accounts. HSHS is committed to sustaining and strengthening the health of our communities by continually reinvesting any surplus revenue from operations and investments into new medical technology, facility infrastructure and health care services. These ongoing enhancements ensure that our hospitals can continue to provide high quality, compassionate care to our patients. During Fiscal Year 2010, HSHS continued to pursue a Care Integration strategy designed to continuously enhance quality and improve coordination of care both inside the hospital and with a growing number of physician partners. Supported by the system investments in information technology, this strategy is designed to better coordinate care, improve health outcomes, create new efficiencies, and help ensure that patients (especially those with chronic conditions) get well and stay well. The Care Integration strategy includes, among other efforts, three "Medical Home" pilot projects, the coordination of care for cardiac patients living in rural communities through the use of telemedicine, and development of a "clinical integration network" that will help independent physicians improve quality and the patient experience by benchmarking their care against best practices. HSHS also placed a special emphasis on investing in interoperable health information technologies and robust health information exchanges. We recognize that our investments in information technology will have a positive impact on the quality, safety and efficiency of health care. These investments also ensure that the patient is at the center of a high quality, highly integrated, compassionate health care delivery system. Expanding access to health care At the heart of our health care ministry is the commitment to care for every patient who seeks our help. Because not all patients have health insurance, HSHS hospitals have generous Charity Care program guidelines that cover 100% of hospital charges for individuals and families who earn less than 250% of the federal poverty level. Under these guidelines a family of four without health insurance that has an annual household income of $55,125 or less is eligible for a 100% discount on their hospital bill. HSHS Charity Care programs have a sliding scale, in some instances providing up to a 60% discount on charges for those earning up to 600% of the federal poverty level. Hospitals have created a simple two page form for those wishing to apply for Charity Care and assign counselors to visit with inpatients who are uninsured to let them know about our charity care policies and provide assistance filling out applications for financial assistance or enrollment in publicly funded health care programs. The gratitude of the people who have benefitted from our Charity Care program (sometimes referred to as Christian Care) is reflected in some of the thank you letters sent to St. Anthony's Memorial Hospital in Effingham, IL. Comments included: "When I opened your letter today and read that you gave me a 100% Christian Care adjustment, I gasped and started crying. I am so grateful. I count this as an unexpected miracle from God working through people willing to show his love to others." - D.K. The King will reply, "I tell you the truth, whatever you did for one of the least of these brothers of mine, you did for me." - Matthew 25:40. "We just want to take a moment to express our deepest gratitude! Your generosity has eased our minds, hearts & pocket book!! Thank you, Thank you, Thank you! God Bless You All! I pray someday I will be able to help someone in such a generous way! You have no idea what a relief this is for us! Thank You seems too simple of words!" - S.L. and C.S. "I want to say at all those who have made it possible to help us pay my hospital bills - Thank You! I don't have words to thank you for all the worry that you have taken away. A thousand "thanks." May God bless you." - L.B. (translated by N.R. and W.R.) "My husband K. and I would like to express our deepest gratitude for your assistance with his medical bill from the hospital. We cannot thank you enough for the help and how this eased a financial burden that we faced. Keeping this gift in mind, we will strive to help others who are in need in whatever way we can to 'Pay it forward.' Thank you and bless you all!" - K.S. and L.S. Our Charity Care programs are only one aspect of our commitment to increasing access to health care services in Illinois and Wisconsin. In many of our communities, HSHS collaborates with Federally Qualified Health Centers (FQHCs) to provide greater access to health care services for low-income residents. For example, St. Elizabeth's Hospital in Belleville, IL hosts a FQHC primary care clinic adjacent to its Emergency Department and St. John's Hospital in Springfield, IL coordinates specialty physician referrals with the local FQHC and provides free health care to its clients. HSHS hospitals work collaboratively in their communities to support the various social services that together make up the fabric of the health care safety net. Sacred Heart Hospital in Eau Claire, WI provides leadership, staff support and laboratory and radiology services for the Chippewa Valley Free Clinic. During FY2010 Sacred Heart's Lab performed 676 tests for patients from the clinic St. Mary's Hospital Medical Center in Green Bay, WI supports a Women's Place, which provides health care services and referrals for men and women in the Latino community. "Because of language barriers, erratic work schedules and the lack of insurance and transportation, many in the Latino community aren't able to access our health system," explains Program Director Carol Ponce. "I feel it is important to overcome those barriers and build bridges for people in the Latino community to access health care and other services that contribute to their well-being. Our programs not only bring health care to the Latino community but joy and connection to other people from Mexico, Honduras, Nicaragua, Peru and Puerto Rico." In rural Illinois, Prairie Heart Institute of Illinois (PHII), a physician group affiliated with HSHS, is bringing a higher level of cardiovascular care to patients in their communities through extensive collaboration with local hospitals and physicians. Through regularly scheduled clinics and sharing of protocols and best practices, rural hospitals across central and southern Illinois can more rapidly and accurately identify heart attack patients and speed treatment to minimize damage to the heart muscle. Meanwhile, access to clinical trials provides opportunities for patients in rural areas to have access</AffiliatedHealthCareSystem>

<Identifier>CONFLICT OF INTEREST POLICY</Identifier>
<ReturnReference>FORM 990, PART VI, LINE 12C</ReturnReference>
<Explanation>The organization is subject to the corporate compliance program and conflict of interest policy ("policy") of Hospital Sisters Health System, an Illinois not for profit corporation exempt from federal taxation under section 501(c)(3) of the internal revenue code. A REVISED CORPORATE COMPLIANCE PROGRAM AND CONFLICT OF INTEREST POLICY HAVE BEEN IMPLEMENTED SINCE JANUARY, 2009 TO MANAGE CONFLICTS OF INTEREST USING A SYSTEM-WIDE PROTOCOL FOR DISCLOSURE STATEMENTS. IN ACCORDANCE WITH the organizaton's CONFLICT OF INTEREST POLICY, ALL COVERED PERSONS HAVE A DUTY TO COMPLY WITH THE CONFLICT OF INTEREST POLICY FOR ANY CONTRACT, TRANSACTION, RELATIONSHIP OR ACTIVITY CONTEMPLATED, ENTERED INTO OR CONDUCTED AT HSHS OR ITS AFFILIATES. THE POLICY DEFINES COVERED PERSONS AS BOARD MEMBERS, BOARD COMMITTEE MEMBERS, OFFICERS, BOARD DESIGNEES, SENIOR MANAGEMENT, MEMBERS OF ANY COMMITTEE THAT OVERSEES THE APPROVAL OF PHARMACEUTICALS AND MEDICAL DEVICES, ANY OTHER INDIVIDUAL WHO HOLDS A POSITION OF TRUST. ON AN ANNUAL BASIS, HSHS DISCLOSES A COPY OF THE CONFLICT OF INTEREST POLICY (AND ALL CORRESPONDING PROCEDURES, GUIDELINES, FORMS AND TOOLS) TO ALL COVERED PERSONS AND ADVISES ALL COVERED PERSONS IN WRITING OF ANY SUBSTANTIVE CHANGES TO THIS POLICY AND SUCH RELATED MATERIALS. COVERED PERSONS ARE REQUIRED TO REVIEW AND COMPLETE THE CORRESPONDING CONFLICT OF INTEREST STATEMENT. THE SYSTEM OFFICE VICE PRESIDENT - SYSTEM RESPONSIBILITY, VICE PRESIDENT - RISK & COMPLIANCE OR MEMBERS OF THE AUDIT AND INTEGRITY COMMITTEE ("COMMITTEE") ARE AVAILABLE TO ANSWERS ANY QUESTIONS A COVERED PERSON MAY HAVE. IN ADDITION, IF, AT ANY TIME AFTER SUBMITTING AN ANNUAL CONFLICT OF INTEREST STATEMENT, A COVERED PERSON BECOMES AWARE OF AN INTEREST THAT HE OR SHE WOULD HAVE HAD TO DISCLOSE AT THE ANNUAL INTERVAL, THE COVERED PERSON IS REQUIRED PROMPTLY TO DISCLOSE THE INTEREST TO THE COMMITTEE USING THE HSHS CONFLICT OF INTEREST DISCLOSURE STATEMENT. COMPLETED CONFLICT OF INTEREST STATEMENTS ARE SUBMITTED TO THE COMMITTEE, WHICH IS RESPONSIBLE FOR IDENTIFYING, ASSESSING, AND MANAGING CONFLICTS OF INTEREST THAT ARISE IN THE COURSE OF CONDUCTING THE AFFAIRS OF HSHS AND ITS AFFILIATES. IF THE COMMITTEE DETERMINES THAT A CONFLICT OF INTEREST EXISTS, THE CONFLICT OF INTEREST POLICY REQUIRES HSHS NOT TO ENGAGE IN OR ENTER INTO A PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT OR ACTIVITY UNLESS THE COMMITTEE OR, WHERE NECESSARY, THE BOARD OF DIRECTORS (ACTING THROUGH ITS DISINTERESTED MEMBERS), HAS INVESTIGATED ALTERNATIVES TO THE PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT OR ACTIVITY AND, IN THE ABSENCE OF ALTERNATIVES THAT ARE IN THE BEST INTERESTS OF HSHS, HAS DETERMINED: 1. THAT, REGARDLESS OF WHETHER THE COVERED PERSON PARTICIPATES IN THE IMPLEMENTATION OF THE PROPOSED CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT, OR ACTIVITY; 2. THE CONTRACT, TRANSACTION, ARRANGEMENT OR ACTIVITY IS IN THE BEST INTERESTS OF HSHS; 3. THE CONTRACT, TRANSACTION, ARRANGEMENT OR ACTIVITY IS FAIR AND REASONABLE FROM THE PERSPECTIVE OF HSHS; AND 4. HSHS CANNOT OBTAIN A MORE ADVANTAGEOUS CONTRACT, TRANSACTION, ARRANGEMENT OR ACTIVITY WITH REASONABLE EFFORTS UNDER THE CIRCUMSTANCES. IN DETERMINING WHETHER A CONTRACT, TRANSACTION OR ARRANGEMENT IS FAIR AND REASONABLE TO HSHS, THE COMMITTEE SHALL CONSIDER, WHERE APPLICABLE: 1. APPRAISALS OR OTHER INDEPENDENT VALUATIONS OF THE FAIR MARKET VALUE OF THE CONTRACT, TRANSACTION OR ARRANGEMENT; 2. INFORMATION REGARDING COMPARABLE CONTRACTS, TRANSACTIONS OR ARRANGEMENTS BETWEEN UNRELATED PARTIES; 3. OFFERS FROM COMPARABLE COMPETING ENTITIES; AND/OR 4. STUDIES OF COMPARABLE COMPENSATION ARRANGEMENTS. IN ANY CASE IN WHICH THE COMMITTEE FINDS, AFTER TAKING THE STEPS DESCRIBED ABOVE, THAT HSHS SHOULD PARTICIPATE IN A PROPOSED TRANSACTION OR ARRANGEMENT DESPITE THE EXISTENCE OF A CONFLICT OF INTEREST, THE COMMITTEE SHALL DEVELOP, IMPLEMENT, MONITOR, AND ENFORCE COMPLIANCE WITH, A CONFLICT MANAGEMENT PLAN FOR MANAGING THE CONFLICT OF INTEREST AS IT CONSIDERS NECESSARY FOR SUCH FINDINGS TO REMAIN VALID THROUGHOUT THE LIFE OF THE CONTRACT, TRANSACTION, RELATIONSHIP, ARRANGEMENT OR ACTIVITY. ALL CONFLICT MANAGEMENT PLANS SHALL: 1. STATE THAT THE COMMITTEE WILL OVERSEE, MONITOR AND ENFORCE COMPLIANCE WITH THE PLAN THROUGHOUT THE COURSE OF THE STUDY AND SPECIFY MEANS FOR DOING SO, INCLUDING, WITHOUT LIMITATION, THAT THE APPROPRIATE INDIVIDUALS MUST PROVIDE THE COMMITTEE WITH WRITTEN REPORTS PERTAINING TO COMPLIANCE WITH THE CONFLICT MANAGEMENT PLAN, THAT THE COMMITTEE SHALL HAVE THE RIGHT TO AUDIT THE STUDY FOR SUCH COMPLIANCE AND THE RIGHT TO IMPOSE SANCTIONS FOR NON-COMPLIANCE; 2. STATE THAT THE PLAN MUST BE SHARED WITH COVERED PERSON WHOSE INTERESTS IT WAS DEVELOPED TO MANAGE; 3. STATE THAT THE PLAN MUST BE SHARED WITH, AND PERIODIC REPORTS ON COMPLIANCE WITH THE PLAN MUST BE PROVIDED TO, THE BOARD, SENIOR MANAGEMENT AND/OR GOVERNMENT AGENCIES; AND 4. PROVIDE FOR SUCH OTHER MANAGEMENT STEPS AND MECHANISMS THE COMMITTEE CONSIDERS NECESSARY AND APPROPRIATE. IN ADDITION TO THE COMMITTEE, THE SYSTEM OFFICE VICE PRESIDENTS OF SYSTEM RESPONSIBILITY AND RISK & COMPLIANCE MAY RETAIN SUCH INDEPENDENT ADVISORS OR EXPERTS AS DEEMED NECESSARY TO ASSIST IN MAKING ITS DETERMINATIONS AND DECISIONS. IF THE COMMITTEE DETERMINES THAT THE CONTEMPLATED TRANSACTION, RELATIONSHIP ARRANGEMENT OR ACTIVITY CANNOT PROCEED DUE TO A CONFLICT OF INTEREST, THE COMMITTEE SHALL INFORM THE APPLICABLE COVERED PERSON OR DECISION-MAKING BODY OF SUCH DETERMINATION WITHIN ONE WEEK OF THE COMMITTEE MEETING AT WHICH THE CONTEMPLATED TRANSACTION WAS DISCUSSED. THE COMMITTEE SHALL DOCUMENT ITS REJECTION OF THE CONTEMPLATED TRANSACTION IN THE COMMITTEE'S MEETING MINUTES.</Explanation>

<Explanation>The Compensation Committee (Committee) is comprised of independent members of the Board of Directors. The Committee develops a compensation philosophy for the System and all affiliates. The Committee selects and hires the independent compensation consultant to develop comparability data and advise the Committee during its deliberations regarding all elements of total compensation for all disqualified individuals. Integrated Healthcare Strategies (IHS), the consultants utilized by the Committee, use data from multiple tax-exempt peer group sources to determine salary ranges, incentive opportunity ranges and benefits for the disqualified individuals. IHS then assists the Committee in preparing contemporaneous documentation of all actions. Each Committee meeting is conducted with the intent to create a rebuttable presumption of reasonableness for all elements of executive total compensation for the disqualified individuals. The Chairman makes this declaration and also inquires if there are any conflicts of interest by any attendees. Any conflicts are disclosed and the Committee then acts in a manner to avoid any conflicted individual participating in any manner where a conflict might exist. At the end of the meeting, the Committee prepares contemporaneous minutes that record all actions taken during the meeting.</Explanation>
