SchJ_P01_S00_L03 Schedule J, Part I, Line 3 The compensation for the President is established by the Executive Compensation Committee of the Board of Trustees ("Comp Committee"). The Comp Committee engaged an independent consultant to help benchmark executive-level salary and benefits at institutions comparable to Hendrix College. Following that study, the Comp Committee established the salary for the President. In future years, the Comp Committee will engage an independent consultant from time-to-time to re-establish benchmarks of the comparable group of institutions changes. In years where no outside consultation is engaged, the Board may utilize the Hendrix College Director of Human Resources to gather benchmarking information for its use in establishing any changes in the salary of the President. SchJ_P01_S00_L04 Schedule J, Part I, Line 4 In calendar year 2008, the College was advised by outside legal counsel that the deferred compensation plan established for President Cloyd in 2001 would not meet certain provisions added to the 2004 tax code. In order to rectify this problem, counsel directed the College in 2008 to take action such that all plan benefits due to President Cloyd should be paid in 2009, which consisted of annual contributions by the College commencing in 2001 plus cumulative investment earnings. Payment of plan benefits in 2009 caused President Cloyd to incur substantial unplanned tax liabilities. All of the funds distributed to President Cloyd were included on the Form W-2 issued to President Cloyd for 2009.
