The implementation of ASC 740-10 had no impact on the Corporation's combined financial statements. The Corporations management believes it has no material uncertain tax positions and; accordingly, it will not recognize any liability for unrecognized tax benefits. Part I, Line 4a CPB separation policies for employees hired prior to January 1, 1997, allow for a severance payment equivalent to two days of current salary for each month of continuous CPB service up to 12 months of service, plus one day of current salary for each month of CPB service in excess of 12 months of service. Alicia Schoshinski received a payment under this policy during the tax year in the amount of $90,372, which is reported in column B(iii) of Schedule J, Part II. Form 990, Part VI, Section B, line 11 The Form 990 is prepared by CPB's Office of Budget and Finance, and reviewed in detail by the CFO and CPB's independent accountants. The CFO reviews the primary components of the form with CPB's officers prior to filing. Also prior to filing, the complete return is provided to officers and directors. Form 990, Part VI, Section B, line 12c CPB employees are required to disclose positions held as a director on any outside board, or as manager or employee (including self employment) with any entity other than CPB. Employees are also required to disclose potential conflicts of interest regarding entities with whom CPB does or may do business. An updated disclosure form must be completed annually or when information changes. CPB's code of ethics and conflicts of interest policy for directors require directors to immediately disclose conflicts of interest regarding any transaction with which the board is involved when the director becomes aware of the transaction. Further, each board and board committee meeting includes an opportunity for the directors to disclose any potential conflicts of interest that may arise in the course of the meeting's agenda. Finally, each director is required to certify their compliance with these policies. Form 990, Part VI, Section B, line 15 Compensation for CPB's CEO, COO, CFO, General Counsel and EVP is recommended by the executive compensation committee of CPB's board of directors and approved by the full board of directors. Management is not represented on the board, members of which are appointed by the President of the United States and confirmed by the U.S. Senate. An annual compensation analysis is prepared by an independent compensation consultant for all Vice President and above positions. The analysis compares compensation from seven independent compensation surveys. Annual performance is evaluated against objectives set at the beginning of the year for each position, other than the CEO. Performance is documented in a written report and the CEO makes compensation recommendations to the executive compensation committee. These recommendations are reviewed by the committee with the assistance of the independent compensation consultant. The evaluation of the CEO is led by the executive compensation committee and the chair of the corporate governance committee of the board. A detailed report of the CEO's accomplishments is provided to each member of the board, along with a performance questionnaire. Input from the questionnaires is consolidated by the consultant and reported back to the full board. The CEO's evaluation is conducted by the board in executive session. All proceedings are documented in the form of written minutes and compensation is included as a formal resolution of the board for each of these positions. This process is followed annually. The last such meeting was in Nov 2010 with revised compensation effective in Jan 2011. Form 990, Part VI, Section C, line 19 CPB maintains copies of its governing documents, conflict of interest policy, Form 990 and audited financial statements at its offices in Washington, D.C. These documents are available to the public upon written request. Copies of CPB's annual report, which include a summary statement of the organization's financial position, are mailed to members of the U.S. Congress and the White House. Both the annual report and Form 990 are also available on CPB's website, cpb.org. FORM 990, PART IV, LINE 12A AND PART XI, LINE 2B AUDITED FINANCIAL STATEMENTS CPB's combined audited financial statements include the accounts of Literary Classics, Inc. ("LCI"), a related District of Columbia not-for-profit corporation that is also exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Form 990, Part IV, Line 12A and Part XI, Line 2B asks if CPB is included in consolidated independent audited financial statements. While the CPB & LCI audited financial statements are considered to be combined rather than consolidated, CPB believes that responding "yes" on the aforementioned lines is appropriate as the Form 990 instructions do not distinguish between the two presentations. The combined financial statements received an unqualified opinion for the fiscal year ended September 30, 2010. FORM 990, PART X BALANCE SHEET PRESENTATION OF ACCOUNTS RECEIVABLE CPB's prior year return presented all receivable accounts on Part X, line 4 - Accounts Receivable, net, in order to conform with the presentation of CPB's audited financial statements.
