<MissionDescription>For over 50 years, Girls Incorporated of Alameda County (Girls Inc.) has served the community, fulfilling our mission of inspiring girls to become strong, smart and bold. Today, we are one of the largest affiliates of the national Girls Incorporated, the nation's leading voice for girls. We offer academic, leadership, and health, fitness, and sexuality programming, as well as clinical counseling services to more than 6,000 girls in grades K-12 and their families in Alameda County. Our staff has grown to over 110 employees, and we provide services at nearly 50 school sites and community centers in the cities of Oakland, Hayward and San Leandro. Girls Inc. prioritizes reaching the most underserved girls and most program participants are from low-income families, with 63% coming from households earning less than $30,000 annually. The majority of our participants live in high-poverty neighborhoods with high crime rates and challenged school systems.</MissionDescription>

To ensure that every girl has access to our programs, most of our programs and services are provided at no cost. School Based Continuum ProgramsIn our Continuum Program, serving grades kindergarten through 12, girls are demonstrating high rates of academic motivation, positive risk-taking and healthy relationship building with peers and adults. In the GIRLStart literacy program, the youngest girls we serve show higher rates of reading proficiency than their peers and stronger school attendance rates. At the other end of the continuum, our 12th grade Eureka! graduates are far exceeding the high school graduation and college enrollment rates of their peers. 100% of graduating Eureka! participants were enrolled in college for fall 2009. The majority will be attending four-year colleges in the UC and CSU university systems. These young women are defying the trends in their school districts, in which less than 40% of 12th grade students are adequately prepared and eligible to apply to these university systems.

Pathways Mental Health Programs Through Pathways Counseling Center, Girls Inc. provided mental health services to approximately 3,600 children, families and community members in the last year. This includes providing counseling, case management and mental health consultation services. Our free mental and behavioral health services were provided to students at two Oakland School Based Health Centers and 22 additional public school campuses in the San Leandro and Oakland school districts. We also expanded the clinical training program for post-degree interns, which added capacity for all clinical services. The extensive expansion of our school-based service delivery has greatly increased access to needed services for families and their children attending under-resourced and under-performing schools. Finally, we have strengthened the linkage between case management services and school-based mental health service delivery, thereby providing greater support to the children and families we serve.

Community Programs Our Community Programs served 1,394 girls, offering teen advocacy training, peer-to-peer health and sexuality programs and comprehensive fitness and nutrition opportunities. Through our HEART peer education program, Girls Inc. reached an additional 943 young people in our communities with valuable health information, resources and referrals. Girls in our health and fitness intervention program, Bodies in Motion, showed improvement in cardiovascular endurance, muscular strength, and flexibility. Teen girls in the Advocating Change Together (ACT) program learned advocacy and research skills through our collaborative work with the Alameda County Public Health Department and Berkeley Media Studies. We also engaged community members to become policy mentors to coach and advise the ACT participants on their systems change work and projects.

<Explanation>All board directors, principal officers, and members of a committee with governing board-delegated powers have a responsibility to disclose any financial business through business, investment, or family as described below: -An ownership or investment interest in any entity with which the organization has a transaction or arrangement, -A compensation arrangement with the organization or with any entity or individual with which the organization has a transaction or arrangement, or -A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the organization is negotiating a transaction or arrangement. -All board directors, principal officers, and members of a committee with governing board-delegated powers have a responsibility to disclose any financial business. -Disclosures are signed and submitted in writing annually and as conflicts arise. The board reviews and acts on the disclosure as follows: -An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. -The chair of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. -After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. -If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. Violations of the Conflicts-of-Interest Policy are handled as follows: -If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. -If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Staff -All staff have the responsibility to report conflict of interest as they arise; the senior leadership team must disclose in writing annually any conflict of interest. -Conflict of interest is defined as when a director or employee involved in making a decision is in the position to benefit, directly or indirectly, from his/her dealings with the Organization or person conducting business with the Organization. -Conflicts that are disclosed are brought to the CEO and CFO for review and to decide on the appropriate resolution. -Failure to comply with the standards contained in the policy will result in disciplinary action that may include termination, referral for criminal prosecution, and reimbursement to the Organization or to the government, for any loss or damage resulting from the violation.</Explanation>
