Their delegated authority is to make recommendations to the board for its approval. Form 990, Part VI, Section B, line 11 Form 990 is reviewed by the Organization's management and is then presented to the board by the independent audit firm employed by the board as part of the overall audit presentation. Form 990, Part VI, Section B, line 12c Conflicts of interest are reviewed at the board level in connection with any transaction and also via an annual disclosure process documented in board minutes. The Organization is putting policies in place that disclosure of conflicts will be on the agenda of every board meeting.
