See attached Schedule OSummary: The Rose Fitzgerald Kennedy Greenway Conservancy is the steward of Greenway, a new ribbon of contemporary urban parks in the heart of Boston. The Conservancy is responsible for operations and maintenance of the Greenway (including planning for the parks' future), public programming of the parks, and educational services. In FY11, the Greenway made great strides toward becoming an indispensible public amenity dynamic, inclusive, and innovative.Horticulture:The Greenway is becoming more beautiful every year, thanks in no small part to its horticulture. The Conservancy is committed to operating and maintaining the Greenway parks through sustainable landscape practices. These include proper soil management, plant health and resilience, air and water quality, and resource conservation. We avoid the use of toxic pesticides, herbicides and fungicides for horticultural care (and avoid toxic chemicals or compounds when maintaining or repairing hard surfaces.) To support public health and maintain the newly restored water quality in Boston Harbor, our park operations professionals use methods which reduce discharge of excess chemicals from the Greenway parks runoff. We also minimize solid waste processing through composting and conserve natural resources through water management. In FY11, 47 seasonal containers were installed throughout the Greenway, with plantings which represent their adjacent neighborhoods/surrounding landscape. A seasonal Mum display has become an autumn favorite in the Chinatown parks. An Edible Demonstration Garden was planted on Dewey Square, a project in which the Green & Grow interns participated from seed to harvest. The Horticulture staff also made numerous light touch improvements in FY11 to all gardens with the addition of perennials, trees, 13,500 bulbs, and transplanting of on-site material. We continue to collect data for our Plant inventory with weekly monitoring, and the popularity of our "What's in Bloom?" horticulture blog continues to grow.Horticulture interventions were also necessary as part of the remediation of Fort Point Channel Park South (see Maintenance section for more information.) Healthy plant materials were reused, and in some cases were relocated to more optimal positions on the site. Overall, we achieved our goals of adding planters with seasonal plant rotations; increased urban hardy plants to provide four seasons of color; and made great progress in employing organic horticulture practices.Maintenance:In FY11 the Maintenance department's full-time and seasonal staff responded to the daily and seasonal demands of running a clean, green, and safe park. This means consistent, efficient and responsive work practices, from emptying trashcans on a regular basis to fixing problems promptly. Routine maintenance of all structures and equipment includes environmentally safe products. The Conservancy's skilled and dedicated Maintenance workforce includes individuals with disabilities employed by WORK Inc. as well as the Boston teens and young adults from the Conservancy's Green and Grow youth workforce development program. We've begun to feel the age of some of the park features. In the North End Parks, the Maintenance department replaced display and jet pump valves, installed a new main seal in the filter pump, and repaired the water make-up valve. Conduit and electrical outlets were installed at Rowes Wharf and in Dewey Square Plaza. All stone dust paths along the Greenway were re-graded, as well.Maintenance, irrigation, drainage, and horticulture problems developed on Fort Point Channel Park South, due to an irrigation system that was not up to the rigors of a high-traffic area. The system broke often, causing flooding. Unfortunately, due to the pitch of the park, the run-off was ending up on the sidewalk of Atlantic Wharf where it would then freeze in the winter months, creating a hazard. This Channel Park remediation project included replacing the irrigation system, creating a new surface treatment for the path that won't wash out, re-locating some of the plants to more optimal locations, and re-sodding. This project was completed in partnership with Boston Properties, one of the Greenway abutters.FY11 is also notable for the amount of snowfall received; more than 60 inches total. Snow removal was handled with great expertise and efficiency by Conservancy maintenance staff. People who live and work along the Greenway were effusive in their compliments about how well sidewalks and pathways were cleared.Planning:Effective and creative project management, landscape design, and technical services are integrated into the future planning of the parks' maintenance, operations and programming. During FY11, great strides were made in regards to enhancing patron comfort. Planning efforts around a Wi-Fi network came to fruition in FY11, and the Greenway District is now one of the largest Wi-Fi hotspots in Boston. We also followed the recommendations of early planning studies, and added tables, chairs and umbrellas in order to provide additional shading (and comfort) for visitors. We provided technical services and planning review to agencies and potential developers wishing to build in, or adjacent to, the parks. This year we reviewed and commented upon proposed urban design guidelines for new buildings adjacent to the Greenway (Boston Redevelopment Authority Greenway District Zoning Study). A central tenet of the guidelines is to protect the Greenway as the district around it evolves making the parks an increasingly important asset in the Commonwealth. Operations, maintenance and planning played a critical role in managing the design and construction of The Harbor Islands Pavilion (a project by the National Park Service and the Harbor Island Alliance), which opened in June of 2011. Conservancy staff also provided input on the designs for Armenian Heritage Park (a project by the Armenian Heritage Foundation) and Mary Soo Hoo Park adjacent to the Greenway in Chinatown.A Feasibility Study was undertaken in FY11 to investigate the viability of a new custom carousel on the Greenway, which will feature animals from the land, sea, and sky which are native to Greater Boston. This project is moving forward, and will be entering a fundraising phase.

See attached Schedule O Events and Programs:The Greenway's parks now unify the area that was divided physically, socially and psychologically by the old elevated highway. Today, the Greenway is a place where people from all the neighborhoods of Boston and the global community come together. For public programs and events, we connect with both well-established and emerging arts, cultural, and community groups as partners and collaborators.Public utilization of the Greenway increased by 125% from 2009 to the 2010 season. Programming was expanded to include third party collaborations, free Wi-Fi, and food vending. A further increase of 55% is forecast for the 2011 season. FY11 programs included Bright Lights for Winter Nights festival, the Earth Day Concert with 92.5%. The River (which drew some 3,000 attendees), Race Amity Day, and the FIGMENT art festival. Children and families riding the Greenway carousel increased to 87,393, which led to an expansion of the carousel's hours of operation.During FY11, the Conservancy enhanced its celebrated food vending program on the Greenway, adding six additional vendors and three new locations. The Farmers Market on Dewey Square Plaza has proved to be a big hit with residents, tourists, and local employees alike, and the Rings Fountain continues to be a major draw. The sculpture Modern Dance was installed to replace Botanica, and will remain for 18 months. A new curated sculpture installation called "Urban Garden" was completed (in collaboration with deCordova Sculpture Park and Museum) in the Wharf District Parks.Between July 2010 and June 2011, the Conservancy hosted hundreds of free events and activities for a diverse audience in the categories of fun, healthy living, horticulture, culture, and history. These included facilitated games; Family Game Night and Game On. Healthy Living activities included a Farmers Market, Fitness Walking, and Yoga and Tai Chi instruction. Horticulture activities included Horticulture Tours and History activities such as a Walking Tour of the Greenway and the Rose's Life walking tour (a tour chronicling the life and legacy of Rose Fitzgerald Kennedy). Other free activities designed specifically for children included Story Hour, Playmaking in the Park, and Activity Carts. The Greenway Gala is the Conservancy's annual fall fundraising event. In FY11, the Gala was attended by 336 representatives from the business community, nonprofit community groups, corporations, foundations and individuals. The Gala provides the Conservancy an opportunity to say thank you to our supporters and provides a platform for sharing our current and future initiatives.Volunteerism continues to thrive on the Greenway. More than 230 individuals contributed more than 700 volunteer hours in 2010.

See attached Schedule OEducational Services:Green & Grow is the Conservancy's workforce development program that helps young Bostonians become effective and reliable employees through working and learning in an urban park. The 12-month program provides a pipeline to future studies/training or environmentally-focused jobs at the Conservancy or in the greater Boston community. It combines job readiness training with career exploration, environmental education, academic support, team-building, personal attention from mentors and attractive compensation. This year we graduated our second class of Green & Grow apprentices. Eight young people worked in the parks with the Park Operations staff, where they made great advances in job readiness, learned presentation skills, and were introduced to ideas like land management and horticulture practices. Highlights of their experience included on-the-job horticulture training and public presentations to other youth groups. In the summer, the Conservancy offers the 8-week Green and Grow internship program in which the participants gain on-the-job experience in both landscape maintenance and implementing programs and events for the public. In FY11, the Interns have completed NOFA training, assisting with routine Horticultural maintenance and learning about more complex topics such as Irrigation and Plant Health Care practices.

        <Identifier>Form 990, Part VI, Section B, line 11</Identifier>
<Explanation>The finance department of the Conservancy completes the financial statements and provides a copy to the independent accounting firm. Once the audit is complete, the Director of Finance receives draft audited financial statements and tax returns from the Conservancy's independent accountant to review. The Executive Director, Director of Business Operations, and Director of Finance reviews the draft tax returns and financials, forwarding them along to the Audit Committee of the Board of Directors for review and comment. A meeting is then set up with the independent accounting firm to review any questions that may have arisen. Once the Audit Committee and Conservancy approve the draft financial statement, the independent accountant provides an updated draft to the Director of Finance, who then forwards this document on to the entire board of directors for final approval.</Explanation>

<Explanation>The Conservancy Board's Executive Committee recommends compensation for the Executive Director. In FY09 the Executive Committee, at the direction of the Board of Directors, hired an independent consultant to conduct an executive compensation survey to develop a recommendation for any changes to the Executive Director's salary. The consultant reviewed nine comparable and relevant organizations either through direct surveys or the organizations' 990s and recommended a compensation package for the Executive Director based on these relevant organizations, performance and the economic climate. The Executive Committee reported the findings to the Board, which then voted to approve a compensation package for the Executive Director.</Explanation>
