(CILE), a separate 501(c)(3) corporation. The College provides courses and curriculum in Europe for law students to obtain an international perspective in the application of the law. Three other colleges are also equal members of CILE and they also provide international courses in other parts of the world. The program revenue is recognized and expenses are incurred by CILE, which issues its own separate financial statements and Form 990. However, in the summer of 2010, the College started up its own, non-CILE summer program in Florence, Italy. The specifics of that program are reflected in Schedule F, Part I. F990_P06_S0A_L01a Form 990, Part VI, Section A, Line 1a The Executive Committee has seven members, all of whom are members of the full Board of Directors. In situations where the full board cannot meet or note, the Executive Committee is provided authorization to act by the full Board of Directors by specific resolution adopted by the full board. Jordan, a board member of the College, served on the board of a for-profit corporation, and Margaret Shannon, another board member of the College, served as an officer of that same for-profit corporation. F990_P06_S0B_L11 Form 990, Part VI, Section B, Line 11 The Form 990 is prepared by the Accounting Services Department and thoroughly checked by the Controller and the Senior Vice President and CFO. The CFO or Controller will confer with the College's outside tax counsel regarding any questions that arise regarding how a particular question on the form should be answered. If necessary, changes are then made. It is next reviewed by the College's President and Dean with any agreed to changes made. After any comments are received from the full Board of Directors, corrections, if necessary, are made to the Form. The Senior Vice President and CFO then prepares a resolution for the Executive Committee's consideration by proxy vote to approve the final Form. Once the Executive Committee has approved the Form, it is then filed with the Internal Revenue Service. A final copy of the Form is then emailed to each Board Member and the President and Dean. F990_P06_S0B_L12c Form 990, Part VI, Section B, Line 12c The College issues a formal request each year to each member of the Board of Directors and each officer to complete and sign a conflict of interest form relative to any conflict of interests that have occurred over the past 12 months. The results of the completed forms are then reviewed with the Audit Committee. The chair of the Audit Committee then reviews any specific conflicts and approves any actions requested to remediate the situation. The chair of the Audit Committee then meets in executive session with the full board to discuss the situation and decide the apporopriate action. The board member or officer in question of having a conflict will not participate in the meeting. Minutes are kept if an executive session is held.
