If the club applying has fulfilled all the requirements of the grant, it is approved. Grantees are required to fill out the evaluation form before they are eligible for any other grants, and the evaluation should be returned after the project for which they received grant funding is completed. Form 990, Part VI, Section A, line 4 During fiscal year 2012, the Organization amended its Bylaws. Significant changes made were as follows: 1. Descriptive language was added to clarify "Active" vs. "Associate" members. 2. Added that, with the exception of the International President, no other officer or member of the Board of Directors shall be employed by, receive any financial compensation from, or have any business interests with GFWC. 3. Added that any officer may be removed from office with cause by a two-thirds vote of those members present and voting at the next Annual Convention, her name having been presented with charges in writing to the membership prior to the Annual Convention, and the officer having had the opportunity to defend herself. 4. Added that any member of the Board of Directors with the exception of elected GFWC officers may be removed for cause from membership on the board by a two-thirds vote of those members present and voting at the next board meeting, her name having been presented with charges in writing prior to the meeting and the member having had the opportunity to defend herself. 5. Added descriptions of 3 new committees/special projects: Fundraising and Development Committee, Juniors' Special Project, and Signature Project. 6. A new dissolution clause was added as follows: "GFWC may be dissolved by recommendation of the Board of Directors and an affirmative vote by the membership. In the event of dissolution, the Board of Directors shall liquidate and distribute its assets to organizations qualified as exempt organizations under section 501(c)(3) of the Internal Revenue Code with purposes similar to those of GFWC. No assets may be distributed to individual members." 7. Added language to extend voting privileges at the GFWC Annual Convention to additional State representatives and to clarify that State Directors of Junior Clubs have representation as members of the Board of Directors. Form 990, Part VI, Section A, line 6 The Organization has members who attain membership through the payment of an annual fee. Form 990, Part VI, Section A, line 7a Members on the International level elect the seven members of the Executive Committee (International President, President-elect, First Vice-President, Second Vice-President, Recording Secretary, Treasurer, and Director of Junior Clubs); Members on the region level elect their region officers (region presidents) who serve on the Organization's Board of Directors; Members on the state level elect their state leaders on the state level (state president and state director of junior clubs) who serve on the Organization's Board of Directors. Form 990, Part VI, Section A, line 7b All proposed changes to the Organization's Bylaws are reviewed and voted on by the general membership annually at the Annual Convention. Form 990, Part VI, Section B, line 11 The 990 is reviewed by the Senior Director of Finance and Administration with the Executive Director. Copies of the draft 990 are sent to the International President & Chief Executive Officer and Treasurer. If there are any questions, the Senior Director of Finance and Administration communicates them with the auditor. Form 990, Part VI, Section B, line 12c The conflict of interest policy is contained in the Organization's Bylaws. It is distributed to directors, officers, and key employees, for self-disclosure. Individuals are required and are reminded to report any conflicts of interest to the Board, which will take appropriate action. Form 990, Part VI, Section B, line 15 Compensation of the Executive Director is discussed by the Executive Committee. The Executive Committee, as part of the budget planning and approval process, establishes the budget for salary expense. Staff salaries are also compared to the median salary rate in the D.C. metropolitan area. The Executive Director and International President have the final authority over compensation of the Organization's staff within the approved salary budget. Form 990, Part VI, Section C, line 19 The Organization's governing documents are available upon request and on its website, and its audited financial statements, 990 forms and conflict of interest policy are posted on the Organization's website. Changes in Net Assets or Fund Balances: Form 990, Part XI, line 5: Net unrealized gains on investments: 22,445. Form 990, Part XII, Line 2c The Organization's Executive Committee assumes responsibility for oversight of the audit of its financial statement and selection of an independent accountant, which is reviewed and approved by the Board of Directors. This process is consistent with prior years.
