The Association is subject to tax on unrelated business income arising from taxable activities. In June 2006, the Financial Accounting Standards Board (FASB) issued an Interpretation, Accounting for Uncertainty in Income Taxes (FASB ASC 740-10). Implementation of this standard was deferred until 2009. The Association has adopted this standard effective January 1, 2009. There was no material impact on the Association's financial statements as a result of the adoption of this standard during 2009. There has been no interest or penalties recognized neither in the statement of operations nor in the balance sheet related to uncertain tax positions. In addition, no tax positions exist for which it is reasonably possible that the total amounts of unrecognized tax benefits will significantly increase or decrease within the next twelve months. The Executive Director compensation is approved by the Board. Members Part VI, Section A, #6, 7a&b 27 mental health centers in Kansas comprise the membership of the Association. Each member organization has one representative on the Board of Directors. The Board is responsible for making and approving decisions. Upon dissolution of the Association, the property, its proceeds and the income therefrom shall be distributed by the last Board to the member organizations. Officer elections by members Part VI, Section A, #7a Members of the Association elect officers on an annual basis. Conflict on Interest Policy Monitoring Part VI, Section B, #12c The Organization sends out questionnaires on an annual basis, to identify conflicts, to all Board of Directors, Members, Officers, and Employees. 990 Review Part VI, Section B, #11 An independent accounting firm prepares and reviews the 990. The 990 is then reviewed by the Organization's officers and accounting personnel. Any questions and concerns the Organization's officers and accounting personnel have are addressed and any corrections or clarifications that need to be made are made. The 990 is then reviewed by the Finance Committee before being filed. An electronic version is emailed to the board after the return is filed.
