Individuals are served in community living arrangements and family living homes licensed by PA ODP. During 11-12 seven adults received family living services. One child and fifty-five adults received group home of CLA services. We provided 17,080 days of CLA, 1,799 days of family living, and 277 days of respite services in 11-12. 1679113 0 1685461 Human Services: Non-residential services provided to individuals with intellectual disabilities. Habilitation & companion services were provided to seventy-two individuals. They received 34,785 hours of service in 11-12. Vocational services for individuals with disabilities were also provided. Thirty-six people attended the adult training facility and 66 people participated in supported employment and transitional work. They received 47,050 hours of services. F990_P06_S0B_L12c Form 990, Part VI, Section B, Line 12c Procedures for the Reveiew of Actual or Potential Conflicts: Where an actual or potential conflict exists between interests of dFs and an interested party, dFs will refrain from the proposed action or transaction until such time as the proposed action or transaction has been approved by the disinterested members of the Board of Directors. The Director's presence may be counted in determining the quorum for any vote with respect to a dFs business transaction which he or she has a possible conflict of interest. However, the interested party, who has the actual or potential interest, shall not participate in any way, or be present during the deliberations and decision making of dFs with repect ot such actions or transactions. The interested party may, upon request, be available to answer any questions or provide material factiual information about the proposed action or tranacton. The disinterested members of the Board may approve the proposed action or transaction upon finding that it is in the best interest of the organization in which the terms are at least fair and reasonable to dFs as those which would otherwise be available to dFs if it were dealing with an unrelated party, and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with a party or entitiy that is not an interested party. Approval by the disinterested members of the Board shall reflect that the conflict disclosure was made, the vote was taken, and that the interested party abstained from the discussion and voting. A written record of any report possible conflict and of any adjustments made to avoid possible conflicts of interest shall be kept by the Executive Director or, where applicable, in the Board file. F990_P06_S0B_L15 Form 990, Part VI, Section B, Line 15 The Compensation Review Committee of the Board of Directors reviewed the wages & benefits for the key employees: Executive Director, Program Director, Administrative Officer & Accountant in 2012. The primary guidelines for external competitiveness were the median salary of agencies by "Budget Size" and "Agencies Outside of Allegheny County" in the most recent "Wage and Benefit Survey of Southwestern PA Nonprofit Organization." Secondary factors were taken into consideration depending upon the specific positions were "Primary Source of Funding";"Number of Employees";and "Level of Education Required." Also for management positions, "Number of Years in Position" and "Number of Employees Managed" were considered. Within the given parameters, compensation will be linked to individual employee performance. The Compensation Review Committee recommends salary & benefits which were approved by the full Board of Directors. The mission statement is on the agency brochures and also on the agency website. The articles of incorporation and bylaws are on file with the PA Corporation Bureau. Board minutes and the annual financial statements are made available are made available upon request. dFs is required to participate in the single county audit performed for Mercer County Behavioral Health Commission. As of February 1st, we had not yet received our final audited financial statements.
