In April 2013, teams from around the world met in St Louis, MO for the FLL World Festival competition and celebration. FP provided on-site research, testing, and evaluation of existing programs and hosted some training events and conferences related to program development and expansion. FP provided local educators and students with hands-on learning opportunities during summer vacation and spring break.The FIRST Scholarship Program attracted 165 colleges, universities, businesses, and professional associations. These organizations offered $16 million in college scholarships to FIRST program participants. FIRST provided guidance to high school students encouraging them to apply. To the extent fair market value can be determined, it is reported as revenue when received. In addition, FIRST received a multitude of in-kind contributions of services essential to carrying out its events and programs. Support services have also been donated including building maintenance, marketing, distribution, information technology, engineering, and administrative services. The number and value of these in-kind contributions cannot be determined but were a substantial part of the resources necessary to deliver our program services during the year. ("SEE"), a not-for-profit museum and tenant of FIRST. FIRST Board Co-Chair and Treasurer Robert M. Tuttle is the Vice Chairman of the SEE Board of Directors. Dean L. Kamen and Robert M. Tuttle are employed by DEKA Research & Development Corp. (DEKA) serving as President and Executive Vice President, respectively, and collectively own more than a 35% interest in the corporation. Baxter International, Inc. is one of DEKA's largest customers. FIRST Board Member Robert L. Parkinson, Jr. is the CEO of Baxter and as such has ultimate authority over DEKA-related projects. The Coca-Cola Company is a DEKA customer. FIRST Board Member Muhtar Kent is Chairman and CEO of The Coca-Cola Company and as such has ultimate authority over DEKA-related projects. Dean L. Kamen and Robert M. Tuttle are partners or members in several real estate partnerships in which they collectively own more than a 35% interest. The University of New Hampshire (UNH) and Texas Instruments are tenants in buildings owned by these real estate partnerships. Until September 2012, UNH rented space from FIRST. Texas Instruments is a FIRST supplier. DEKA, the real estate partnerships noted above, and the LLC noted below have deposit and loan relationships with Citizens Bank. FIRST has a depository relationship with Citizens Bank. Berry Dunn McNeil & Parker (BerryDunn), Capitol Hill Services, Inc., Demand Electric, MCCI(Carrier Construction), and Granite State Plumbing & Heating are vendors of FIRST, DEKA, and the real estate partnerships noted above. Dean L. Kamen and FIRST Past Board Member James R. Utaski collectively hold more than a 35% interest in New Power Concepts LLC (NPC). Dean L. Kamen and Robert M. Tuttle are Officers of NPC. FIRST Past Board Member Francois J. Castaing holds stock in NPC. FIRST Board Member Glenn A. Britt serves on the Board of Xerox along with Xerox's Chairman and Chief Executive Officer, Ursula M. Burns, who is also a FIRST Board Member. Form 990, Part VI, Section B, line 11 The Form 990 was reviewed in depth by the Audit Committee, the Board Treasurer, and the Vice President of Finance with the outside CPA who prepared the return. After approval by the FIRST Audit Committee, a complete copy of the return was provided, via mail or email, to each FIRST Board Member. The return was then filed with the IRS. Form 990, Part VI, Section B, line 12c The FIRST Conflict of Interest Policy requires every Director and Officer to disclose any known or potential conflict of interest to the Co-Chairs of the Board prior to any action, decision, or vote occuring connected with the potential conflict. The Co-Chairs of the Board, in consultation with the Audit Committee will determine if a conflict exists. The Director or Officer having the potential conflict is not permitted to participate when the determination is made or when a decision or vote is taken where a conflict of interest may exist. Annually, every Board Member and Officer is required to read and sign the policy and disclose any conflicts of interest, or attest to the fact that there are none, in writing. The signed annual statements and disclosures are sent to the independent auditors who report the results to the FIRST Audit Committee, the CPA preparing the Form 990, and the FIRST Treasurer. Form 990, Part VI, Section B, line 15 Compensation of Officers and senior managers, other than the President, is approved by the Governance and Compensation Committee of the BOD. Annual review performance evaluations, including measurement of the achievement of pre-established performance objectives, are the primary basis of determining every senior manager's raise/base salary. Compensation survey information is also considered in such determination. Changes in the compensation level, raise level, and bonus award for the President is recommended by the Governance and Compensation Committee to the Steering Committee for its approval. Performance against pre-established objectives, various qualitative assessments, and comparison to total compensation of presidents of like organizations are all considered.
