The Organization's president is the CEO of Yankee Alliance, LLC and is compensated by Yankee Alliance, LLC for services performed as an employee of that organization. The CEO's salary is reviewed annually and also compared to a market survey performed by an outside firm, and is geared toward the 50th percentile. The CEO's salary is determined by the compensation committee of the board of directors of Yankee Alliance, LLC. Changes in Program Services Form 990, Part III, line 3 Two of the Organization's program activities -- Hospital Supply Chain Analytics Services, and Hospital Breakthrough Series Collaborative are now conducted through Yankee Alliance, LLC, a related organization. Form 990, Part VI, Section A, line 6 Membership consists of certain hospitals which are described in Section 501(c)(3) of the Internal Revenue Code which are exempt from taxation under Section 501(a) of the Internal Revenue Code; a hospital which is a constituent part of an organization described in Section 501(c)(3) of the Internal Revenue Code which is exempt from taxation under Section 501(a) of the Internal Revenue Code and which, if organized and operated as a separate entity, would constitute an organization described in Section 501(c)(3) of the Internal Revenue Code; and hospitals that are owned and operated by the United States, a State, or a political subdivision or an agency or instrumentality of any of the foregoing. Form 990, Part VI, Section A, line 7a Class A members have the right to designate and appoint one individual to serve as a director. Form 990, Part VI, Section B, line 11 Form 990 is reviewed internally by the Organization's Financial Analyst, Senior Vice President of Finance and CEO. The return is compared to the current year audited financial statements, internal data and prior year tax return to insure that the information to be filed is complete and accurate. After the internal review is complete the return is forwarded to legal counsel for their review. Once the internal and legal review is complete the tax return is provided to all board members with the final review and approval resting with the Board Officers. Once the tax return is approved the Treasurer will sign and have the return filed electronically by the Organization's tax preparer. Form 990, Part VI, Section B, line 12c Yankee Alliance Supply Chain Cooperative, Inc. monitors and enforces compliance with the Organization's conflict of interest policy by providing board members with a conflict of interest statement for their review and signature. If a conflict does exist the board member is required to disclose that conflict in the disclosure section of the document. Conflict of interest statements are presented to the board members at the Organization's annual meeting in October. The Organization monitors and enforces the conflict of interest policy by including a standing agenda item asking board members to self-disclose any conflicts of interest that may have arisen since the last disclosure document was signed. Form 990, Part IX Yankee Alliance Supply Chain Cooperative Inc. pays a management fee to Yankee Alliance Inc. and Yankee Alliance, LLC for services rendered as well as occupancy, office and other administrative costs. The management fee is determined by Yankee Alliance, Inc's and Yankee Alliance LLC's actual costs. In addition Yankee Alliance Supply Chain Cooperative Inc. pays a membership fee to Yankee Alliance Inc. for services such as educational, networking, benchmarking and collaborative activities that foster sharing best practices and learning innovative approaches to hospital operations and performance improvement, leading to transformative changes in understanding and actions. The membership fee is determined by Yankee Alliance, Inc's actual other costs related to membership services. Schedule A, Page 1 Line 3: The entity is not licensed by the state as a hospital; therefore Schedule H is not applicable. Relation to Yankee Alliance, LLC Schedule R, Page 2, Part III: The founding members of Yankee Alliance Supply Chain Cooperative, Inc. are all, and the only, partners in Yankee Alliance, LLC. Allocation of Hours Worked 990, Part VII, Section A: The employees listed on Form 990, Part VII, Section A are paid by Yankee Alliance, Inc. through December 31, 2011. Beginning January 1, 2012 the Organization went through a corporate restructure and now employees are paid by Yankee Alliance, LLC. However, their time is allocated between Yankee Alliance, Yankee Alliance Supply Chain Cooperative Inc., and Yankee Alliance, LLC. In addition, the employing entity is reimbursed for the services performed.
