Per IRS guidance, the 'significant' change made establishes the Executive Director as CEO, rather than the President of the Board of Directors. Form 990, Part VI, Section B, line 11 Once the draft federal Form 990 is forwarded to us by Raffa, P.C., the Administrator reviews it comparing it for accuracy to the recently completed audit and highlights any questions she has for Raffa, P.C.. Once she has discussed her questions with Raffa, P.C. and understands their answers she forwards the federal Form 990 to the Executive Director, the Finance Committee (the current Treasurer of the Board of Directors and the former Treasurer) and the President for their review. If they have any questions to which the Administrator cannot respond the Legal Clinic contacts Raffa, P.C. for further explanation. The completed federal Form 990 is provided to the full Board of Directors for review via email prior to filing with the Internal Revenue Service. Form 990, Part VI, Section B, line 12c At the Legal Clinic's annual meeting, each Board Member is asked to sign the Conflict of Interest Policy Statement. We follow-up with any Board Member who is not at the meeting to ask them to sign the Statement. In addition, the conflict of interest policy specifies that the Board Members "understand that if at any time during which I serve as a Director, Officer or Key Employee of the corporation, any of the foregoing representations in this Statement are no longer accurate, I will within 30 days of the event creating the inaccuracy, file with the Corporation a new, accurate and updated Statement." The Clinic has not imposed any sanctions or penalties for the failure to file conflict statements, and has never had a situation which required enforcement of the policy. Form 990, Part VI, Section B, line 15 The Executive Director's compensation is considered along with the rest of the employees' compensation. If increases are given, they are generally a 3% COLA and a step increase of $1,000 given in July to the entire staff. This action is budgeted for in the annual budget which is approved by the Board of Directors when they approve the budget at their annual meeting. The approval of the annual budget is documented in the Board of Directors minutes. Although it is budgeted, it is done so with the caveat that it will again be reviewed and re-approved by the Finance Committee prior to the July payroll after the Board of Directors has considered the current financial position of the Legal Clinic. In 2012, beside the mid-year COLA and step increase, the staff were given a parity increase at the beginning of the year to bring salaries more in line with comparable legal service organizations.
