A copy of the amended Bylaws is attached with this return. The revised By-Laws added language to incorporate the relevant portions of the Constitution, allow for voting through email or other similar means, and extend the board service term allowed by one year for an immediate past president who has reached the end of their 6 year term. No significant changes effecting the Agency's overall mission were made to the By-Laws. At the same meeting, the Board voted to revoke the Constitution, as the relevant portions of this document are now included in the revised By-Laws. Please see attached revised By-Laws for additional information. Form 990, Part VI, Line 11b: Form 990 Review Process The Director of Finance receives the completed Form 990 and performs detailed review. The Directors are emailed a copy of the Form 990 before filing and are asked to review and respond with any questions or concerns they have regarding the return. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts All Board members, as well as Director-level staff, are required annually to complete a Conflict of Interest form. Any potential conflicts are required to be disclosed and explained. In accordance with the Conflict of Interest policy, following full disclosure of a possible conflict of interest or any other conditions outlined in the Conflict of Interest policy, the Board of Directors shall determine whether a conflict of interest exists and, if so, the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect SRIs best interests. Both votes shall be by a majority vote without counting the vote of any interested Director. Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees Line 15a&b: Comparable salary data for all personnel, including the Executive Director, is reviewed from sources such as the State Employment Security Commission and Kenexa CompAnalyst Market Data by appointed representative(s) of the Board of Directors. The Executive Committee of the Board of Directors completes the performance review for the Executive Director and presents a recommendation for any Executive Director salary increases or adjustments to the full Board for approval. The Board of Directors approves all salary adjustments for the Executive Director. The Board of Directors approves a percentage increase range, to be used in conjunction with annual performance evaluations for remaining personnel, to award other salary increases. The Board of Directors has given authority to the Executive Director to adjust the Classification and Compensation schedule for personnel, other than the Executive Director, as needed, to maintain standards of pay that are comparable according to salary data provided in surveys such as those listed above. The Board has given authority to the Executive Director to approve salary increases or adjustments for all other personnel, including the Finance and Administrative Operations Director.
