As part of the grant reporting process, CRHC requires grantees to describe the use of the grant funds. FORM 990, PART III, LINE 4D CHRC administers outreach programs to provide technical assistance, grant dollars, grant writing assistance, advocacy and other resources for our rural members. The Forum 2013 was held April 3-5th at the Sheraton Denver West in Lakewood, CO and targeted those concerned about access to and delivery of care for low-income, uninsured and underinsured Coloradans. This annual education, training and networking opportunity was especially pertinent for healthcare professionals, safety net providers, and other organizations committed to meeting the health and well-being needs of underserved populations. The 13th Annual Forum offered a forward-looking and relevant agenda designed to engage participants in discussion about health policy, advocacy, exchange marketplace navigation, community collaboration, mental and oral health, and much more. We are proud that this event brought together 199 attendees including high-level decision makers and CEOs from clinics and hospitals across the state and region. The 22nd Annual Colorado Rural Health Conference was held October 17-18, 2013. The conference provided participants with a wide range of educational topics, networking, resource opportunities and much more. The event's 154 attendees engaged in discussion around health information technology, hospital readmissions, healthcare workforce shortage, healthcare policy, advocacy, and healthcare facility planning and finance. Significant changes to organizational documents form 990, Part VI, line 4 The Board of Directors approved updated bylaws on December 18, 2013. Almost every section of the bylaws were amended to provide consistency with the governance policies implemented in 2013. FORM 990, PART VI, LINE 11B An electronic copy of the draft form 990 will be provided to the Board of Directors for review prior to filing with the Internal Revenue Service. The Board of Directors will conduct a vote to approve the Form 990 at either a regularly scheduled board meeting or via e-mail. FORM 990, PART VI, LINE 12C Any Director, Principal Officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, is considered an interested person with respect to the conflict of interest policy of the Colorado Rural Health Center. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. To ensure compliance with the above, each interested person must annually sign a statement which affirms he/she has received a copy of the conflict of interest policy; read and understands the policy; agrees to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemptions it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. PART VI, LINE 15A In 2013, the Board created an Executive Compensation committee, made up of 3 Board members. The committee conducted a review of the CEO's performance and determined her new compensation. The recommendation of the committee was voted on by the entire board and documented in the board minutes.
