Each elected director shall be elected by the Member to serve for a term of three years and until his or her successor is elected and qualified. Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders Any action required or permitted to be taken by the System in its capacity as the Member of the Corporation under the Certificate of Incorporation or the Bylaws shall be taken by the System through written resolution consenting to such action in accordance with the System's Certificate of Incorporation, Bylaws, policies and procedures. Such written resolutions shall be signed by an officer of the System and shall be forwarded to the President of the Corporation, with a copy to the Chairman of the Corporation. These statements are reviewed by the CFO of the Corporation to determine if there are any issues that require further follow-up. All disclosures are presented to the Audit Committee and the CFO points out any disclosures that he feels are significant. If there is a disclosure that is of concern, a determination is made for further follow-up.
