<MissionDescription>Writers Theatre (WT) is a literary organization which operates not-for-profit theatres in Glencoe, Illinois. WT exists to explore productions in which the word on the page and the artists who bring that word to life hold primary importance. Central to this mission are three core objectives: valuing text, whether classic, adapted, or original, as the fundamental source of inspiration; creating deliberately intimate performances where audiences are face to face with powerful stories; and honoring the time and commitment of our artists by offering industry-leading compensation. Writers Theatre has earned a reputation for consistent artistic excellence, innovative educational programming, and service to our community.</MissionDescription>

<Description>Artistic Programming:During the 2012/13 Season, Writers Theatre staged five productions in its two intimate performance spaces, playing to approximately 5,500 subscribers and more than 40,000 total audience members from across metropolitan Chicago and the country. The Season's productions sold to an average 91% capacity, and included Hamlet by William Shakespeare, The Letters by John W. Lowell, Sweet Charity by Neil Simon and Cy Coleman, Yellow Moon by David Greig, and The Liar adapted by David Ives from the original by Pierre Corneille.</Description>

<Description>Educational Programming:The MLK Project: The Fight for Civil Rights is a touring solo performance that follows a Chicago student's search for identity and self-discovery as she examines the American Civil Rights Movement, weaving together poetry, hip-hop and history as it encourages students to explore the themes of civil and human rights. In 2013, The MLK Project performed 38 times during January and February, reaching 43 different schools (90% of which were in underserved communities of Chicago, including three in juvenile correctional facilities), five community organizations, and a total of 8,137 students. Nearly 45,000 students have been served since the tour's inception in 2007. The Novel Series Study Plan, an in-school residency program, was co-designed by WT's Director of Education and the Literature and Writing Magnet Cluster of Chicago Public Schools (CPS). Teaching Artists partner with classroom teachers in grades 4 8 to create student-driven literature residencies, consisting of four "corners," each delving into different aspects of the novel's characters, plot, and themes: Writing, Vocabulary, Discussion, and Theatre exercises. During the 2012-13 school year, Writers Theatre conducted Novel Series residencies in 27 classrooms at nine different schools, reaching approximately 720 students. Approximately 92% of participating students came from low-income backgrounds.</Description>

<Description>Literary Development Initiative:In addition to its mainstage productions, WT supports the creation of new work through its innovative Literary Development Initiative (LDI), which was launched in 2004 with the goal of developing the next generation of classic plays and creating an "artistic home" to support and nurture the master playwrights of the future. Through this initiative, WT has previously debuted five world-premiere productions. The LDI also supports further development of already-premiered works by giving them a crucial second or third production, including the 2012/13 Season's The Letters, which received additional time and resource to refine the script. WT has four projects currently under commission through the LDI.</Description>

<Identifier>Description of Uncertain Tax Positions Under FIN 48:</Identifier>
        <ReturnReference>Part X, Line 2:</ReturnReference>
<Explanation>The Theatre, an Illinois nonprofit corporation, is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and applicable state law, except for taxes pertaining to unrelated business income, if any. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the Theatre may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Theatre and various positions related to the potential sources of unrelated business taxable income. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities during the year. The Theatre files Forms 990 in the U.S. federal jurisdiction and the State of Illinois. The Theatre is generally no longer subject to examination by the Internal Revenue Service for years before fiscal 2010.</Explanation>

<Explanation>Reasonable Compensation: It is the policy of Writers Theatre to pay no more than reasonable compensation for personal services rendered to Writers Theatre by Trustees or employees. The Trustees of Writers Theatre shall not receive compensation for fulfilling their duties as Trustees, although Trustees may be reimbursed for actual out-of-pocket expenses which they incur in order to fulfill their duties as Trustees. Expenses of spouses will not be reimbursed by Writers Theatre unless the expenses are necessary to achieve a specific, pre-approved purpose. Approval of Compensation: The Executive Committee of the Board of Trustees must approve in advance the amount of all compensation for the Executive Director, Artistic Director, and any Trustee entering into an agreement to provide personal services for payment to Writers Theatre subject to the terms of the Writers Theatre Conflict of Interest Policy. Before approving such compensation, the Compensation Committee shall determine that the total compensation to be provided by Writers Theatre is reasonable in amount in light of the position, responsibility and qualification for the position held, including the result of an evaluation of prior performance for Writers Theatre, if applicable. In making the determination, the Compensation Committee shall consider total compensation to include the salary and the value of all benefits provided by Writers Theatre to the individual in payment for services. At the time of the discussion and decision concerning compensation, the Executive Director, Artistic Director or Trustee should not be present in the meeting. The Compensation Committee will obtain and consider appropriate data concerning comparable compensation paid to similar positions in like circumstances. Once the Compensation Committee has met and reached an agreement, it will make a recommendation to the Executive Committee for approval. The Executive Committee shall set forth the basis for its decisions with respect to compensation in the minutes of the meeting at which the decisions are made, including the conclusions of the evaluation and the basis for determining that the individual's compensation was reasonable in light of the evaluation and the comparability data.</Explanation>
