Schedule D, Part X, Line 2 Income Taxes: The Company is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code, and accordingly, no provision for federal income taxes is included in the financial statements. The Company files it's return of Organization Exempt from Income Tax in the U.S. federal jurisdiction and its Annual Filing of Charitable Organizations in New York State. Schedule D, Part XI, Line 4b Change in Interest in the Foundation & net assets released from restrictions (18,913), and Loss from Discontinued Operations (4,628,758) Form 990, Part III, Line 3 Note 2 of Audited Financials - In March 2012, the Company entered into two Asset Purchase Agreements with a buyer to sell the assets and operating licenses of its two skilled nursing facilities, Hawthorn Health Multi-Care Center and Harbour Health Multi-Care Center. The aggregate consideration was $6,260,000 which included the assumption of certain receivables and liabilities existing on the closing date. Both Agreements required New York State Department of Health (NYSDOH) regulatory approval for the sale of the operations. During 2013, NYSDOH approval was received. In July 2012, the two facilities entered into a voluntary Receivership Agreement whereby $3,002,543 of liabilities were assumed and $991,024 of accounts receivable were transferred to the Receiver. As of that date, all profits and losses reverted to, and are the responsibility of, the Receiver. In August 2012, the land, buildings and equipment of the two nursing facilities were sold, as part of the Asset Purchase Agreement, for a total sales price of approximately $1,630,000. During 2014, the remaining portion of the sale price closed, in the amount of $4,630,000, resulting in a gain on sale of operations for the discontinued entities. The gain recognized in 2014 less operating expense of approximately $417,000 ($919,000 - 2013) net of revenue of approximately $46,000 ($36,500 - 2013) resulted in income from discontinued operations of approximately $4,259,000 for 2014 (($883,000) - 2013). The assets, liabilities, results of operations and cash flows of the two nursing homes have been classified as discontinued operations. Terms of the closing included the Company holding a promissory note from the Purchaser, in the amount of $1,000,000. This note will be repaid over a three year period of time. The note is interest free unless an event of default occurs, at which time interest at a rate of 9%, would be incurred. Form 990, Part VI, Section A, Line 6 The members consist of Pastors in good standing with the Presbytery, trustees of the Presbytery, representatives from participating churches, and the PSCWNY Board of Directors. It will then be reviewed by the Board of Directors Finance Committee. The final 990 is then submitted via efile. Form 990, Part VI, Section B, Line 12c Policy is reviewed at new hire orientation and annually thereafter. Board of Directors are given a copy of the By Laws at orientation that has a section on Conflict of Interest. If any member discloses a conflict of interest, they will not be able to participate in any vote taken in regards to transactions and services in which they have an interest. Form 990, Part VI, Section B, Line 15 Compensation data is compiled and used to determine budgets. The data is collected from various salary surveys from AAHSA, NYAHSA, WNYAHSA and various internet sites such as the Department of Labor and Bureau of Labor Statistics.
