A severance agreement was signed by both parties detailing twelve equal monthly payments of $16,312 to Ms. Baranowski for a total amount of $195,741 in severance. As part of the agreement, Ms. Baranowski will also receive COBRA coverage paid for by HHHC. $97,870 of her severance was paid through December 31, 2013 and reflected in the prior fiscal year. The balance of $97,850 was received through December 31, 2014 and reflected during the current fiscal year. Form 990, Part VI, Section B, line 11 The Form 990 is provided to all board members for review and comment. This review is performed prior to the filing of the Form 990. Form 990, Part VI, Section B, line 12c In compliance with NH RSA 7:19-a, II and 292:6, each board member shall annually declare in writing a list of all businesses or other organizations of which he or she is an officer, director, trustee, member, owner, shareholder, employee or agent with which the agency has a relationship, or might reasonably in the future enter into a relationship with the agency. Board members are also asked to disclose any transactions in which they may have a conflicting interest. At the first meeting in January, all directors complete conflict of interest forms that are kept in the CEO's office. Any disclosures are forwarded to the compliance committee for discussion. Form 990, Part VI, Section B, line 15 Outside consulting was used to evaluate compensation. Executive and management compensation survey findings were shared with the executive committee. Form 990, Part VI, Section C, line 19 Upon request, Home Health and Hospice Care makes its governing documents, conflict of interest policy, or financial statements available to the public. Form 990, Part VII, line 1: Ruth Ellen Whitney, the current Director of Finance of Home Health and Hospice Care, was hired in March 2015. IRS instructions require that compensation and benefit information be reported on Form 990, Part VII on a calendar year basis. The calendar year covered by the Organization's current fiscal year Form 990 filing is the calendar year ended December 31, 2014. As Ms. Whitney began her tenure with the Organization after that calendar year date, in accordance with IRS Instructions, no compensation or benefit information is being reported on this Form 990 for Ms. Whitney. The Organization's 2015 Form 990 will reflect Ms. Whitney's compensation information. Similarly, John Getts, Daryl Cady, and Eileen Trefonides all have reportable compensation in Part VII of Form 990 that only represents a portion of their total fiscal year compensation. Since compensation and benefits are reported on calendar year basis, each of these individuals only were employed with the Organization for a portion of the 2014 calendar year. Form 990, Part XII, line 2c: The audit process for the financial statements did not change from the prior year. The same independent accountants performed the audit in both 2014 and 2015.
