The Board or committee exercises due diligence in determining whether or not the potential transaction is in the best interests of the Olympia Snowe Women's Leadership Institute and whether, with reasonable efforts, a more advantageous arrangement may be transacted that does not give rise to a conflict of interest. Violations of the conflict of interest policy are disciplined appropriately by the Board, and all proceedings involving the conflict or potential conflict are recorded.
