The Committee uses a process which is intended to create the presumption that payment of compensation to these persons constitutes reasonable compensation, defined as amounts that are within the range of compensation paid to similarly qualified persons in functionally-comparable positions at similarly-situated organizations. In this process, no member of the Committee who has conflict of interest with respect to the compensation arrangement at issue is permitted to participate in the review and approval of that compensation arrangement. The Compensation Committee retains and consults with an independent compensation consultant, who prepares a customized market-based analysis provided by the consultant, and where appropriate, performance review and compensation recommendations, to establish market-based compensation for the CEO and the CEO's executive team.
