The Board of Directors meets on a quarterly basis to discuss the welfare of the chapter and has the authority to act on all matters, through board resolutions or motions, passed by a two-thirds majority vote of the members present. Form 990, Part VI, Line 11b: Form 990 Review Process The Board of Directors meets to review a draft of the Form 990. Any revisions are discussed and corrected by the tax preparer. The final form is then received by the executive manager who is responsible for verifying the changes, signing the form, and filing the form in a timely manner. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts Each of the directors shall have the continuing, affirmative duty to report any personal ownership, interest, or other relationship that might affect such person's ability to exercise impartial, ethical, and business-based judgements in fulfilling responsibilities to the Chapter. Directors are required to complete annually (or as otherwise scheduled by the Board) a disclosure form regarding any conflict of interest. The disclosure statement shall be in such form as may be prescribed by the Board and may include information regarding a person's participation as a director, officer, trustee, committee member, or employee of any other nonprofit organization (whether or not such organization is a Conflict Person). The Board shall be responsible for oversight of all disclosures or failures to disclose, and for taking appropriate action in the case of any conflict of interest transaction.
