The Board consults with Mountain States Employers Council and performs an annual review of salaries of other area CEO's in comparable sized mental health centers. The Board of Directors will have completed the review of the evaluation prior to the contract being finalized. The outcome of that evaluation will be considered in determining the contract. Compensation should be based upon: 1. Financial condition of the Center. 2. Projected financial outlook for the Center for the coming year. 3. Level of staff salary increase. Describe how documents are made available to the public The governing documents, financial statements, and conflict of interest policy are made available to the public upon request. Form 990 Review Process The 990 is prepared by a third party preparer and reviewed by the CFO, the board finance committee, and the board of directors prior to filing with the IRS. Conflict of interest If an employee intends to enter into private practice in addition to continued employment with the Center, he/she must comply with the Center's policy on private practice. JCMH employees may not engage in private practice that would be in direct competition with the Center's lines of business. This would include working for a competitor, signing contracts with a competitor, and having a private practice within the Center's service area. The policy on Private Practice may be obtained from the Human Resources Department. Further, the Center may not contract with any organization or agency in which a Center employee has a financial interest. Any exception must have the approval of the President & CEO or designee. Directors are not permitted to vote on issues if they have a conflict of interest. Describe process for determining compensation The salaries of the COO, the CFO, as well as all other executive level staff, are set by the CEO. The salaries are placed on a JCMH salary scale which is periodically reviewed and compared to other mental health centers. In addition, human resources consults with Mountain States Employers Council for comparison of salaries each year.
