The Institute believes that it has appropriate support for any tax positions taken and that none would require recognition of a liability or disclosure in the financial statements. The Institute is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes the Institute is no longer subject to income tax examinations for years prior to December 31, 2011. Form 990, Part VI, Section A, line 4 The following changes were made to the bylaws: The maximum number of board members was reduced from 36 to 25 members. The board will consist of about one half community members and one half executive directors of Samaritan Centers. The nominating committee shall vet nominees and present recommendations to the board for election. The nominating committee will also nominate board officers and committee chairs for the board of directors. Form 990, Part VI, Section B, line 11 The Form 990 is provided to the entire board of directors for review before it is submitted to the IRS. Form 990, Part VI, Section B, line 12c A copy of the conflict of interest policy is provided to all board members and key employees. Board members and key employees are required to disclose annually in writing any potential conflicts of interest. If a conflict were to arise that board member must abstain from voting on the matter. Form 990, Part VI, Section B, line 15 The Executive Committee of the Board of Directors selects a salary review committee ("the committee") comprised of board members to review the compensation of all staff. The committee obtained relevant salary information from Mountain States Employers Council for staff positions. The committee's recommendations were incorporated into the annual budget which was reviewed by the Executive Committee and approved by the full Board of Directors.
