Compensation of Trustee Schedule J, Part II Elizabeth Gosch, PhD, is a trustee and employee of Philadelphia College of Osteopathic Medicine (PCOM). The compensation for Ms. Gosch that is reported on Form 990 Part VII and Schedule J, Part II is for her faculty position at PCOM. Ms. Gosch is not compensated for the time devoted as a trustee. Business Relationships Form 990, Part VI, Line 2 1 board member serves on the advisory board of another board member's corporation. 1 board member serves on the board of one of the investment companies used by related organization, the philadelphia college of osteopathic medicine foundation. Form 990 Review Process Form 990, Part VI, Line 11b Form 990 is prepared by the organization and reviewed by an outside independent tax consultant. The audit committee reviews and approves the 990. Prior to filing, the 990 is made available to the entire board of trustees for review. Conflict of Interest Policy Monitoring & Enforcement Form 990, Part VI, Line 12c An annual questionnaire and disclosure form was developed by our external legal counsel. Every July 1 the questionnaire is sent out to all officers, trustees and key employees. They are checked to make sure that they are all returned and signed. They are then reviewed by the CEO and CFO. Any reportable conflicts are then sent to the audit committee for resolution. Process for Determining Compensation Form 990, Part VI, Line 15a Salary and bonus paid to the President of the college is reviewed and approved by the Compensation Committee of the PCOM Board of Trustees. In addition, an annual review is conducted by an independent executive compensation consulting organization, in order to provide an opinion on the reasonableness of, and supporting comparability data with respect to total compensation of the President. How Documents are Made Available to the Public Form 990, Part VI, Line 19 Financial statements are made available to the public upon request. Tax-Exempt Bond Liability Form 990 Part X Line 20 On June 2, 2014, the outstanding balance of the 2003 Bonds of $18,190,000 was redeemed in full by the organization. Concurrent with the early retirement of these bonds, the organization defeased a portion of the 2003 bonds by creating a separate escrow account. The investments and fixed earnings from the investments held in the escrow fund are sufficient to fully service the defeased debt. Accordingly, this portion of the debt has been considered defeased and has been removed as a liability from the Organization's finanical statements. At June 30, 2014, a total of $1,410,000 of defeased bonds were outstanding. The organization recognized a loss on the early extinguishment of the related debt of $184,850, which is included in interest expense and amortization expense in the statement of activities.
