During 2013 we fundraised with the purpose of helping to remodel/update one wing of the nursing home into a "Special Care Unit." That unit has since opened (Oct. 2014) and 14 residents with cognitive memory live in the Unit.Heritage Foundation is committed to providing nursing scholarships to help with recruitment and retainment of employees at Hill Top Home of Comfort. This past year, $5,636 was spent in Nursing Scholarships and Tuition Reimbursement programs.Gifts of equipment to Hill Top Home of Comfort totaled $7,324.In addition, the Foundation has supported the local hospital with a gift of $360 an Dollars for Scholars with a gift of $500. The Hill Top Heritage Foundation Tax Credit Endowment Fund consists of assets received by the Hill Top Heritage Foundation, Inc. from external, non-operating fund sources and held by HTHF as a qualified endowment. The Fund is restricted to providing financial support in furtherance of the specifically expressed charitable purposes and mission of HTHF. Subject to the donor's intent as expressed in the Gift Agreement and applicable law in effect, HTHF may appropriate for expenditure or accumulate so much of the Endowment Fund as the HTHF determines is prudent for the uses, benefits, purposes and duration for which the endowment fund has been established. If the purchase follows a request from a staff member and it has gone through the channels and finally approved, we later request a report explaining whether it is working, what could have been better, etc. Form 990, Part VI, Section A, line 1 Executive Committee consists of the President, Vice President, Secretary, Treasurer, Foundation Director and one member at large. A quorum of four of these must be present to do business. The Executive Committee has the authority to conduct business between meetings but will at all times be subject to the control of the Board. Form 990, Part VI, Section B, line 11 A public disclosure copy is forwarded to the board for comment and review prior to filing. Form 990, Part VI, Section B, line 12c On an annual basis board members are required to disclose any conflicts. Per Conflict of Interest Resolution: Duty to Disclose In connection with an actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Determining Whether a Conflict of Interest Exists After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for Addressing the Conflict of Interest An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. Violations of the Conflicts of Interest Policy If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Form 990, Part VI, Section B, line 15a Vicki Pennington and Fayleen Fisher are employed by Hill Top Home of Comfort, but their compensation is reimbursed to Hill Top Home of Comfort by the Hill Top Heritage Foundation. The Hill Top Home of Comfort board performs a yearly review of all the employees salaries. Increases in compensation are determined based on job responsibilities, annual reviews, and comparability data. The deliberation is documented in the board meeting minutes. Form 990, Part VI, Section C, line 19 The financial statements, conflict of interest policy, and governing documents are available upon request. The Organization's annual report contains a listing of projects funded and brief financials, with a statement that a full financial report is available upon request. The Organization also has the financials available on the website.
