Form 990, Part VI, Section A, Line 6 For the taxable year ended March 31,2014 the Organization has a Governing Board composed of ten members, which the majority are users of the Center. Form 990, Part VI, Section A, Line 7a The organization has a Nominations Committee who evaluates candidates for the Governing Board. All candidates should file in an application to be considered by the Nominations Committee. The Committee then presents recommendations to the Governing Board for consideration and selection of the members. Form 990, Part VI, Section B, Line 11b The form 990 is prepared by the external auditors using the accounting records and other information used to prepare the audited financial statements. Once prepared the form is given to the top management of the Organization for review and discussion with the external auditors. Once discussed with the external auditors, the Executive Director presents and discusses the form 990 with the Governing Board for approval. Once approved by the Governing Board the form is submitted to the IRS. Form 990, Part VI, Section B, Line 12c The organization has a conflict of interest policy which is monitored by the top management and the Governing Board. Top management of the organization and the Governing Board monitor the conflict of interest policy by analyzing sensitive transactions and contractual agreements and by requiring employees and board members to disclose any interest or relationship with a third party. The Policy is also enforced through out periodic seminars and conferences to officers and key personnel. Form 990, Part VI, Section B, Line 15 The compensation of the Executive Director is determined and approved by the Governing Board. The compensation is determined based on experience, qualifications, performance and comparable or similar compensation data of executive officers in Puerto Rico. Compensation of other officers and key personnel such as Chief Financial Officer, Medical Director, Human Resources Director and others is primarily determined by the Executive Director based on the employee experience, qualifications, performance and using comparable or similar compensation data for those positions in Puerto Rico. Compensation of officers and key employee is then presented to the Governing Board for approval. Form 990, Part VI, Section C, Line 19 Governing documents, conflict of interest policy and financial statements might are available for public inspection at the administrative office of the Organization and under supervision of an official of the corporation. The availability of such documents may depend on the purposes and use of such information. Form 990, Part IX, Line 11g Fees for services (non-employees). Other consist of medical services paid by third parties as part of the capitation contracts with medicaid (Puerto Rico Government health care reform) and medicare risk share. It also includes the cost of medical staff (general practitioners, pediatricians, naturalist and nurses) paid by a fee for services agreement. Form 990, Part XI, Line 9 Other changes in net assets consist of $20,316 from provision for bad debts, and $229,013 for loss on impairment of health facility.
