Members or stockholder classes and rights Part VI line 6 The Parks Foundation is made up of Members who pay annual dues. Member election for additional members Part VI line 7a Names of new Board of Directors are proposed by a nominating committee of existing directors at a regularly scheduled meeting of the total Board of Directors. The total Board interviews and votes on those proposed directors and presents the list of selected candidates for approval to the Parks Foundation membership at its annual meeting. Governing body decisions Part VI line 7b The Parks Foundation membership have the right to approve Directors and those rights vested in members under the Washington Nonprofit Corporation Act. Form 990 governing body review Part VI line 11 The preparer meets with the Board of Directors and reviews Form 990. Conflict of interest policy compliance Part VI line 12c Whenever any member of the Board of Directors first becomes aware of a direct, indirect or potential conflict of interest concerning any matter that is before the Board of Directors, that member is required to promptly disclose the existence of the conflict of interest. Any disclosure will be duly recorded in the Board minutes. The member may thereafter engage in discussion of the matter and may vote unless the Board believes the nature and extent of the conflict of interest warrants the exclusion from the discussion and vote. Members of the Board of Directors will automatically be deemed to have agreed to comply with this policy by accepting appointment to the Board of Directors.
