The significant changes to the bylaws are summarized as follows: 1. Director appointments: a. The 11 Attorney Board members will now be appointed within the 11 service areas, rather than require each of the 11 service areas to appoint the Attorney Board member. b. The optional two at large Attorney Board appointments was changed to be at least two and not more than three at large Attorney Board appointments. 2. Allowance of a "general" director: a. If there are only 13 appointed Attorney Directors, the amended bylaws allow for a "General Director" that need not be an Attorney or a Client Board member. 3. Creation of a "Board Advisor" role: a. The term "Emeritus Director" was changed to "Advisor to the Board" 4. Extension of Director term limits: a. The number consecutive terms were increased from 2 to 3. b. Directors serving as Officers may now server for an extended term in order to serve out the Officer appointment. 5. Expansion of the Standing Committees: a. Development Committee was added as a standing committee. b. Governance Committee was added as a standing committee. Form 990, Part VI, Section A, Line 7a Process to elect board members by other organizations. The fourteen attorney directors shall be composed as follows: One attorney director shall be selected by the governing body of a county or municipal bar association operating within each of the eleven service areas as specified within the bylaws. One attorney director shall be appointed by the governing body of the Illinois State Bar Association. Two attorney directors shall be appointed by a county or municipal bar association or other organization operating within the service area having an interest in the delivery of legal services to the poor. Client representative directors shall be appointed by community organizations or groups which operate within the service area. The executive director of Prairie State Legal Services will designate appropriate organizations or groups to appoint members who are eligible clients. Form 990, Part VI, Section B, Line 11b The Fiscal Manager prepares the form 990 using the financial information from the audited financial statements. The Finance Director reviews the financial and other information, then submits a copy to the auditor to review. The auditor's staff reviews the form 990 and will submit comments for consideration. The final review is made by the Executive Director prior to signing and filing the form 990. Form 990, Part VI, Section B, Line 12c Each director, principal officer and member of a committee with PSLS Board delegated powers shall annually sign a statement that affirms such person: 1. Has received a copy of the Conflicts of Interest Policy; 2. Has read and understands the policy; 3. Has agreed to comply with the policy; and 4. Understands that PSLS is a charitable organization and in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. The members use their professional experience and other independent knowledge of compensation levels to determine the compensation of the Executive Director.
