Dr. Leonard Linde acted as a member of the Board for both organizations. Additionally, the Bylaws require that the Chief Executive Officer of Mobridge Regional Hospital act as a non-voting member of the Foundation. The CEO reports to the Board of Directors of the Mobridge Regional Hospital. These facts substantiate the Foundation is responsive to the needs and demands of the supported organization. Part IV, Section E, Line 2a The Foundation supported Mobridge Regional Hospital by providing scholarships to students in the healthcare field. The foundation provided two types of scholarships, as follows: Medical career scholarship - this scholarship is awarded to students in the Mobridge area that are pursuing a career in a profession involving direct patient care within the hospital setting. Students sign a scholarship agreement setting forth their commitment to serve rural residents upon successful completion of their medical program. Dr. Ben Henderson Medical Career Advancement Memorial Scholarship - This scholarship is awarded to a current employee of Mobridge Regional Hospital. Students who are awarded this scholarship are required to sign a scholarship agreement setting forth their commitment to serve rural residents upon successful completion of their medical program. Part IV, Section E, Line 2b By providing scholarships to healthcare students, the foundation is encouraging and assisting students in fulfilling the education requirements needed to work at Mobridge Regional Hospital. This lessens the burden on the hospital of finding and attracting qualified people to work at the Hospital. If not for the Foundation's efforts in furthering the development of students interested in the healthcare field, the Hospital would need to focus on this area itself. The grant to Mobridge Regional Hospital is determined based on its financial needs to carry out the exempt activities. Form 990, Part VI, Section A, line 4 Article III, Section 3 of the Bylaws was changed to require that at least one member of the Foundation Board must be a member of the Board of Directors of Mobridge Regional Hospital. Prior to the amendment, at least two directos of the Hospital board were required to be board members of the the Foundation. The Chief Executive Officer of Mobridge Regional Hospital continues to be a non-voting member of the Foundation board. Article III, Section 12 was expanded to clearly outline the general powers of the board of directors. Article V, Section 3 was updated to include the Foundation Director position and provide the duties and responsibilities of said person. Form 990, Part VI, Section A, line 6 There shall be one class of members as follows: Any individual, firm or corporation contributing a membership fee of $10.00 or such other sum as may from time to time be fixed by the Board of Directors and requesting to become affiliated with this corporation in the furtherance of its purposes, may by vote of the Board of Directors be made a member hereof, and shall continue so long as said member continues such annual payments. Members of acting working committees, or other persons actively serving the corporation in a purely volunteer capacity, may by vote of the Board of Directors be made members of this corporation during such service without payment of fees.
