During intervals between meetings of the Board, the Executive Committee has, possesses and exercises all of the powers of the Board in the management of the business and affairs of the Corporation. The Executive Committee fixes its own rules of procedure and meets at such time and place as provided by such rules, but in every case the presence of a majority of its members shall be necessary to authorize action on behalf of the Corporation. Minutes of the Executive Committee meetings are distributed to all members of the Board prior to the next regular meeting of the Board. Executive Committee members must be Directors and are appointed by a Nominating Committee (the "Nominating Committee"), with the exception of the Chair of the Investment Committee, who shall be a permanent standing member of the Executive Committee. The Nominating Committee is composed of three (3) Directors appointed by the Chair of the Board. The Chair of the Board and members of the Executive Committee may be members of the Nominating Committee.
