Parts of the exempt organization's daily operations are related to those of OSH. OSH reimburses the exempt organization for its share of expenses paid by the exempt organization and use of the exempt organization assets such as use of the facilities. OSH appoints three members. Orlando City Youth Soccer (OCYS) membership will appoint three directors by a vote. In the event of a merger of another not for profit youth soccer club, the Board of Directors has the right to appoint up to three additional directors (bringing he total to no more than nine). General Directors shall be nominated from the voting membership or board during the Annual General Meeting (AGM). The Chariman and Board shall maintain full staffing of the board and as such, fill any vacancies by majority vote of the Board. In the event of a resignation of a former Florida Soccer Alliance General Director, the Director will be replaced by a person nominated by the remaining former Florida Soccer Alliance General Directors. This provision will remain in effect through the AGM of 2015. This provision can only be changed prior to 2015 by the vote of the voting membership at the AGM or a special meeting.
