The Society operates the Ashland Nature Center, Coverdale Farm, Abbott's Mill Nature Center and the DuPont Environmental Education Center. Programming is also offered at Cooch-Dayett Mills. Additional programs are provided at other regional and international habitats.Over 52,500 contacts annually are made with members, students, and public group participants, and another 40,000 visitors, professionals, legislators, and conference participants are involved as well. 467118 120008 Preservation & Conservation:The Land Preservation Program focuses on the preservation of ecologically significant natural areas and protection of Delaware's biodiversity. Currently, the Nature Society holds conservation easements and deed restrictions totaling approximately 500 acres. The Society also provides leadership for the preservation of significant natural and agricultural areas throughout the state of Delaware.The Watershed Stewardship Program is comprised of stream adoption, technical monitoring, and backyard habitat. Stream Adoption educates individuals and groups about stream ecology and what people's roles are in protecting water quality. Currently, 70 stream segments are "adopted" statewide. Technical Monitoring is a nationally recognized use of citizen science data by the State and the Environmental Protection Agency (EPA) to monitor watershed health. Technical Monitoring data is currently being collected at 38 sites. Backyard Habitat provides official certification for properties or residences that provide for wildlife to raise their young and where owners practice resource conservation. To date, more than 400 properties have been certified, ranging from urban to suburban across all three Delaware counties. The Advocacy Program monitors over 50 environmental issues and takes positions and acts on federal, state, and local issues affecting the quality of our environment. It helps create and facilitate networks among community, industry and government groups for solutions to environmental problems. 558842 71661 Land & Biodiversity Management:The Delaware Nature Society manages over 1,900 acres of land in Delaware and southeast Pennsylvania. Management goals include the protection and enhancement of natural biodiversity, utilization of the land for environmental education and promotion of responsible environmental stewardship. Surveys and monitoring of flora and fauna are conducted on all properties and the conservation of rare and or uncommon fauna and flora and their habitats is a high management priority. Invasive alien plant control projects are ongoing on all sites and a Whitetail Deer management strategy has been developed and implemented. Restoration of meadow and woodland areas is a high priority. Part V, Line 4: The Society has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets. Endowment assets include those assets of donor-restricted funds that the Society must hold in perpetuity or for a donor-specified period(s) as well as Board-designated funds. Under this policy, as approved by the Board of Directors, the endowment assets are invested in a manner that is intended to maintain the level of financial support currently provided while assuming a moderate level of investment risk. Part X, Line 2: The Society has adopted the provisions of FASB ASC 740-10-50, Accounting for Uncertainty in Income Taxes. Management continually evaluates uncertain tax positions and expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings, as applicable. Management's evaluation is that there is no income tax liability. This evaluation is based on settled and established positions within the Internal Revenue Code and management believes there is no significant uncertainty related to its evaluation. The Society's policy is to expense all interest and penalties as incurred, if any. No amounts of interest or penalties were recognized by the Society during the year ended December 31, 2015. Form 990, Part VI, Section B, line 11 The Finance Committee reviews the Form 990 at its May meeting before the return is signed and filed. Form 990, Part VI, Section B, line 12c Each Director must complete a Conflict of Interest Policy Disclosure Statement upon his/her election to the Board and any reelection thereafter. Board members are required to acknowledge a potential conflict to the Board prior to entering into a transaction with the Society. The minutes of the Board meeting at which a disclosure of conflict is made shall reflect the occurrence and the outcome. The Executive Director monitors contracts and vendor payments for potential conflicts of interest and informs the President of the Board. The President then brings the potential conflict to the Board for discussion when deemed possibly material. Form 990, Part VI, Section B, line 15 The Personnel Committee of the Board of Directors oversees a national salary survey every three years. The Committee also gathers local salary data to help establish current market values for the Society's salaried positions. The collected survey data supports a salary structure that aligns every position within a salary range. The Personnel Committee reviews all salary rates including the Executive Director and Associate Directors and then approves the rates of pay prior to budget approval for the next fiscal year. Form 990, Part VI, Section C, line 19 While the Society routinely provides copies of the audited financial statements when requested,it has never received a request for its conflict of interest policy or governing documents. Although there is no legal requirement that it do so, in the interest of transparency, requests of this nature will be evaluated by the Society and responded to on a case by case basis. Form 990, Part XI, Line 2c: The Society has an Audit Committee that assumes responsibility for oversight of the financial statement audit and the selection of the independent auditors. Form 990, Part VI, Line 14: Written Document Retention and Destruction Policy While the Society does not have a comprehensive document retention and destruction policy for the Organization as a whole, it does have guidelines in place to govern certain categories of document preservation. The Board's position on these policies is currently under review.
