The Medical Scientist Training Program (MSTP) (resulting in both M.D. and Ph.D. degrees) trains a diverse group of outstanding students as physician-scientists to become future leaders in academic medicine and medical research. Among the first such programs nationwide and continuously funded by the National Institutes of Health (NIH) since 1964, the program integrates MSTP-specific courses with medical and graduate courses during the first two years of preclinical course work. Einstein is home to many NIH-funded research multidisciplinary research centers - in diabetes, intellectual and developmental disorders, aging, liver diseases, health disparities, HIV/AIDS, cardiovascular research, organ transplantation and cancer - and it also provides an extensive array of translational research cores, including tissue analysis; multiscale imaging; molecular design; and genetic and genomic, proteomic and human phenotyping. Our Strategic Plan focuses on areas where we can significantly advance science and improve human health. Our aim is to develop robust multidisciplinary research programs for adult and pediatric patients, with particular emphases in six areas: brain science; immunotherapeutics; obesity and metabolic disorders; cancer; healthcare delivery and clinical effectiveness; and RNA science and medicine. Einstein operates eight NIH Health & Human Servicesdesignated centers: the Albert Einstein Cancer Center, Bronx HOPE (Health Opportunities Partnership-Einstein), the Center for Diabetes Translation Research, the Einstein-Mount Sinai Diabetes Research Center, the Harold and Muriel Block Institute for Clinical and Translational Research (ICTR)at Einstein and Montefiore, the Marion Bessin Liver Research Center, the Nathan Shock Center of Excellence in the Basic Biology of Aging and the Rose F. Kennedy Intellectual and Developmental Disabilities Research Center. As an engine for research collaboration, the NIH-funded ICTR has been a key factor in formally joining Einstein and Montefiore into a single entity with a shared mission. The ICTR is at the leading edge in comparative effectiveness, informatics, population health and lifespan research innovation. Our investment in research has translated into improved human health. Einsteins relationship with Montefiore supports a longstanding focus on bench-to-bedside research, through which discoveries in Einsteins laboratories lead to therapies and treatments for patients on an accelerated timetable. In the last decade, Einstein researchers were the first to show that low scores on a cancer-recurrence gene test may allow breast cancer patients to skip chemotherapy. We linked a childs abnormal breathing during sleep with behavioral, emotional and relationship troubles; discovered that slow walking speed plus memory complaints are predictors of dementia; created a prototype vaccine against tuberculosis that works better in animal models than the current TB vaccine; and discovered "longevity genes" in humans. Among our many ongoing initiatives are studies of healthcare-associated infections in children in ambulatory care settings and research on HIV eradication and the use of PrEP (pre-exposure prophylaxis) to reduce the risk of contracting HIV. Einstein is currently one of just four sites nationwide taking part in a large-scale study of the health status of the Hispanic/Latino community in the Bronx, supported by the NIH. FORM 990, PART VI, QUESTION 6 MEMBERS OR STOCKHOLDERS The sole members of Albert Einstein College of Medicine Inc., (the College) are Montefiore Medicine Academic Health System, Inc. (the Health System) and Yeshiva University (Yeshiva). The Health System controls 51% of the members' voting interest and Yeshiva controls 49% of the members' voting interest in the College. For a transitional period Yeshiva will serve as the Colleges degree granting institution until the College receives the necessary accreditations to grant degrees itself. When the College receives the necessary accreditations (the "Accreditation Date"), Yeshivas membership interest will remain at 49% but will automatically convert to a membership interest solely with the authority to exercise its approval with respect to its Consent Rights discussed below in Part VI question 7b, and all other authority with respect to the College shall be solely vested in the Health System. FORM 990, PART VI, QUESTION 7A POWER TO ELECT OR APPOINT MEMBERS Prior to the Accreditation Date, the Health System shall appoint 75% of the Board of Trustees and Yeshiva shall appoint 25% of the Board of Trustees. After the Accreditation Date Yeshiva shall appoint one member to the Board of Trustees. FORM 990, PART VI, QUESTION 7B Prior to the Accreditation Date Yeshiva has certain Special Rights which require Yeshivas approval: (i) to amend, repeal, restate or revise the Bylaws or Certificate of incorporation of the College; (ii) to change the purpose or mission of the College; (iii) to change the not-for-profit status of the College; (iv) to levy assessments or require capital contributions by the members of the College; (v) to liquidate or dissolve the College in certain situations; (vi) to dispose of the College except to the extent required upon the occurrence of an event that will or is reasonably likely to terminate Yeshivas ability to grant degrees and provide degree granting services; and (vii) to take action with respect to those matters over which applicable accreditation authorities and/or governmental authorities require Yeshiva to have an approval right. After the Accreditation Date, Yeshiva has certain Consent Rights which require Yeshivas prior written approval: (i) to make changes that would alter the Colleges not-for-profit status and/or the Jewish mission or admission policy; and (ii) to undertake the liquidation and/or the dissolution of the College in certain situations. FORM 990, PART VI, LINE 11B The Form 990 is prepared by the Controller with assistance of various departments throughout the College and an independent accounting firm. The return is reviewed by the Chief Financial Officer and the independent accounting firm used to assist in the preparation of the return. Upon completion of the reviews the Form 990 is presented to the Audit Committee of the Board of Trustees for review and approval. Once approved by the Audit Committee the Form 990 is made available to all members of the Board of Trustees. FORM 990, PART VI, LINE 12C Board members and key employees are required to disclose actual or potential conflicts of interest to General Counsel prior to engaging in the conflict. General Counsel reviews the actual or potential conflict of interest and notifies the Dean of the College and the Chair of the Audit Committee of the Board of Trustees to discuss what actions, if any, are appropriate to prevent or manage the identified conflict of interest. On an annual basis, the College circulates a conflict of interest questionnaire to all board members and key employees. The responses are reviewed by General Counsel, and if any actual or potential conflict of interest is disclosed in the responses, General Counsel will notify the Dean of the College and the Chair of the Audit Committee of the Board of Trustees to discuss what actions, if any, are appropriate to remove or manage the identified conflict of interest. In addition, Procurement reviews requests for payments to board members and key employees and ensures that all requests contain sufficient documentation to support a valid business purpose prior to issuing payment. FORM 990, PART VI, LINE 15B Prior to its establishment the College was an operating division of Yeshiva University. All key employees of the College were employees of Yeshiva University immediately prior to their employment by the College. As employees of Yeshiva University the compensation of these employees was reviewed annually by Yeshiva Universitys Compensation Committee of the Board of Trustees. The Committee conducted a detail review and approval of compensation utilizing comparability data from third party salary surveys, Form 990 disclosures from other organizations and/or compensation studies prepared by an independent third party consulting firm. Upon establishment of the College, representatives of the health system, reviewed the salaries of all key employees and resolved to maintain salaries at their prior Yeshiva levels.
