Income from nonexempt functions is subject to unrelated business income tax. The Association had income tax expense, relating to advertising income, of $87,000 and $112,232 for the years ended December 31, 2015 and 2014, respectively. The Association follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the consolidated financial statements. Under this guidance, the Association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The committee members are appointed by the board of directors, and the committee consists of not more than twelve (12) persons. The chairman and vice-chairman of the board of directors are ex-officio members of the committee, as are the organizations president and treasurer, although the president is a non-voting member. The committee has general charge of the business of the organization between meetings of the board of directors. The committee also directly supervises the organizations officers, subject to the direction and control of the organizations full board of directors. The Directors are instructed to contact the SVP Finance if they have any questions regarding the return. After a reasonable period of time, the forms are filed if there are no further questions. In order to monitor and enforce compliance with the policy, directors are reminded of the policy at every Board meeting and Executive Committee meeting, and officers,directors and key employees are provided annually with a questionnaire regarding conflicts and a list of the taxpayers directors, officers, key employees, and vendors, for purposes of determining if a conflict of interest exists. Taxpayer has a Human Resources Committee of the Board of Directors for review, discussion and approval of the CEO's salary and annual performance-based bonus award. The CEO's compensation is benchmarked annually by an independent compensation analysis firm that uses appropriate comparable data from other organizations of similar size and geographic location, including 990's of other organizations and compensation studies. Taxpayer uses comparable compensation data to benchmark other officers and key employees of the organization. Taxpayer owns approximately 25% of Surescripts, but does not exercise significant control over Surescripts operations. The investment is shown at original cost, less a valuation allowance. Part VII, Section A, Column B - Hours for Related Organizations Kathleen Jaeger spent approximately 15 hrs per week supporting NACDS Foundation- a related organization, as President of the NACDS Foundation.
