Schedule J Part 1 Line 4B The Chief Executive Officer is the sole participant in the organization's first and only supplemental executive retirement plan ("SERP") and earned unvested benefits of $2,075,000 during the initial partial year in 2015 which are reported on Schedule J Part II Col C. Benefits earned under the SERP are nonvested forms of deferred compensation that fund the employee's eventual retirement benefit. These benefits are provided in exchange for all the employee's years of service to the organization. The amounts are at risk and will not be paid unless and until the employee has provided substantial future services to the organization. Benefits under the SERP vest if the employee remains employed at the organization through January 1, 2018 and are forfeited on a pro rated basis if the employee is terminated for cause or by reason of death or disability by the organization or if the employee leaves the organization voluntarily prior to January 1, 2018. REASON FOR AMENDED RETURN The return for the calendar year ended December 31, 2015 is being amended by the taxpayer to correct compensation reported in Part VII and Schedule J as follows: Part VII, Section A compensation was amended for one individual Schedule J, Part I, Line 4b - answer changed to YES Schedule J, Part II compensation detail was amended for one individual Schedule J, Part III Part I, Line 4b narrative was amended for one individual FORM 990, Supplemental Information Part VI, Section A, Line 2 Family/Business Relationships Trustee Steven Hochberg and Trustee James Flynn have a business relationship. Part VI, Section A, Line 4 The Bylaws of The Mount Sinai Health System were amended to change the employees for which the Compensation, Employee Benefits and Employee Relations Committee (the "Compensation Committee") has responsibility to establish and fix compensation and fringe benefits from "all senior and/or highly compensated personnel" to "Executives" (defined as those individuals who are "Disqualified Persons" under Treas. Reg. 53.4598-3T and those who, post-recruitment, will be "Disqualified Persons"). The Compensation Committee retains the authority to "review" the compensation and fringe benefits of senior and/or highly compensated personnel who are not "Executives". Part VI, Section B, Line 11B Form 990 provided to governing body The Finance Department gathered the relevant information and prepared the tax returns with great care. * Our outside auditors, Ernst & Young, participated in the preparation of, and reviewed, all tax returns. * A questionnaire was circulated to all trustees (i.e., directors), officers and key employees in order to elicit the information required to be reported on the tax returns. * The Trustee Conflicts of Interest Review Committee reviewed the responses provided by trustees and certain officers in the questionnaires and assessed additional pertinent facts gathered by the institution in order to evaluate the applicability of IRS reporting requirements. The Review Committee then determined the appropriate trustee (and certain officer) disclosures that should be made on Form 990 based on the recommendations of the Finance Department, the General Counsel's office and the Audit and Compliance Department. These recommendations were reviewed and approved by E&Y. The same process was conducted by the Finance Department, the General Counsel's office, the Audit and Compliance Department and E&Y with respect to the questionnaires submitted by other officers and key employees * The Audit and Compliance Committee of the Board of Trustees conducted a review of the entire tax return, with the participation of E&Y, the Finance Department, the General Counsel's office, and the Audit and Compliance Department. The Audit Committee approved the tax returns as presented. * The Audit Committee's report of its review of the tax returns and its recommendation to file the returns were presented to, and accepted by, the Executive Committee of the Board of Trustees (the "Executive Committee"). * In addition to authorizing the filing of the tax returns, the Executive Committee directed that the returns, which will be filed on or before November 15, 2015, be provided to all trustees via the trustees' confidential website, and those returns were so provided before being filed. Part VI, Section B, Line 12C Monitoring & enforcing compliance with the policy Compliance with the Organization's Business Conflicts of Interest Policy (the "Policy") is required of trustees, employees, medical staff and non-employee members of institutional committees and includes an ongoing duty to disclose potential conflicts. Compliance with the Policy is monitored and enforced regularly and consistently. All disclosures with the potential for conflict are reviewed by an appropriate committee where they are carefully evaluated.
