The Black Cat is a concert venue in Washington, DC. The organization's treasurer is responsible for preparing the organization's tax returns. The organization switched treasurers midway through the fiscal year. The new treasurer who was responsible for preparing the returns (and who is acting without compensation and in his private capacity, and who is neither an accountant nor a tax lawyer) was also new to the organization and therefore unfamiliar with certain of the organization's practices and all the organization's financial records. While the organization's records are well-kept, they are not necessarily kept for the sole purpose of easily completing a tax return, and it took a significant amount of time for the new treasurer to familiarize himself with the organization's fundraising efforts, the organization's financial records, and the organization's prior-year tax returns. This wholly accounts for the late filing of these returns.
