Form 990 governing body review Part VI line 11 The Form 990 is distributed to all board members prior to filing the return. The management of the School and members of the board of directors review the 990 for accuracy and authorize its filing. Conflict of interest policy compliance Part VI line 12c Any conflicts are disclosed prior to voting on an agenda item with conflicted members abstaining from voting. Board members and other key employees are instructed annually on the conflict of interest policy and are required to submit a signed conflict disclosure form annually. Any disclosures are reviewed by the board on an annual basis. CEO executive director top management comp Part VI line 15a The Schools executive director and CEO are not employees of the School. Their salaries are set and paid by Arizona Charter Solutions as required by the Schools management contract with ACS. For School employees, prior obtained comparability data are reviewed and used by the board members. The Organizations legal counsel reviews all compensation agreements between the Organization and members of management who are employees. Only disinterested board members review and approve the compensation. The employee whose contract is to be approved is available to answer questions but leaves the room for the discussion and vote. Compensation is set and reviewed on an annual basis in writing. The discussion and decision are recorded in the minutes. Other officer or key employee compensation Part VI line 15b All employees of the School receive salaries based on comparability data and a schedule approved by the board of directors of the School. The procedure followed for executive officer employee compensation is also used for other officer and key employee compensation.
