Dr Kennedy served as the Organization's president for thirteen years before his death, and never received compensation from the Organization for his services during his lifetime. Effective September 6, 2007, the Organization entered into a purchase agreement with the estate of the former president which provides the Organization with exclusive rights to certain intellectual property created by the former president outside the scope of his employment with the Organization. In addition, the agreement provides the Organization with certain rights related to use of the former president's name and likeness. The Organization's Board of Directors relied upon an independent appraisal in determining the value of the intellectual property and other rights acquired pursuant to the agreement with Dr Kennedy's estate. Upon the closing of the estate, the intellectual property and related purchase agreement passed to Mrs Anne Kennedy, the beneficiary of Dr Kennedy's estate. During the year ended June 30, 2017, the Organization paid $120,000 to Mrs Kennedy in connection with this agreement. As of June 30, 2017, $243,739 is payable to Mrs Kennedy in connection with this agreement. This obligation is reported at Part X, Line 22, and at Schedule L, Part II. Form 990, Part VI, Section A, line 4 The Board of Directors amended and restated its Articles of Incorporation and adopted new Bylaws based on the advice of legal for three primary reasons: 1. The operating structure of the Board, and the powers invested in the Board chair, were no longer consistent in the aftermath of Dr. Kennedy's passing; 2. The language in the Bylaws and Articles were amended to more explicitly fully reflect the Biblical character of the organization's vision, mission, and core values; and 3. The language in the Bylaws and Articles were amended to conform with changes in Florida non-profit corporate law. In addition, the Organization is a fully accredited member of the Evangelical Council for Financial Accountability (ECFA) and, as such, subscribes to ECFA's Seven Standards of Responsible Stewardship addressing (1) operation in conformity with the Organization's evangelical Christian doctrinal statement, (2) oversight by a Board of Directors, the maiority of which are independent, (3) submission of complete, accurate, audited financial statements, (4) proper management and financial controls over the use of the Organization's resources, (5) public availability of the Organization's current financial statements upon written request, (6) avoidance of conflicts of interest, and (7) responsible, truthful fund-raising practices.
