The conflict of interest policies and bylaws strictly prohibit personal benefit or gain and does not allow these transactions with any Board Member or volunteer of the organization. We do not want even the perception of someone benefiting through direct relationship or a business they may work for or have an ownership interest in. Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management The executive director is an independent consultant / contractor with a written contract. No other key employees or officers receive any compensation. The executive directors performance is evaluated annually by the board of directors. The board discusses the executive director's performance in light of the job requirements set forth in her contract, provides numerical ratings based on various criteria in the contract and the results are shared with the executive director. Prior to signing the contract, an informal inquiry was made to determine comparable compensation of executive directors at comparable foundations in the region.
