It has been classified as an organization that is not a private foundation under Section 509(a)(2) of the Internal Revenue Code and contributions by donors are tax deductible. The BrandLab did not have any unrelated business income in 2017. The BrandLab believes that it has appropriate support for any tax positions taken, and accordingly, does not have any uncertain tax positions that are material to the financial statements. 1 Scholarships 6 25123 Part III A COMMITTEE OF VOLUNTEERS REVIEWS SCHOLARSHIP APPLICATIONS. A STAFF MEMBER ALSO HELPS FACILITATE THE COMMITTEE. THE COMMITTEE MAKES A RECOMMENDATION WHO THEY ELECT SHOULD BE AWARDED SCHOLARSHIPS. Form 990, Part VI, Section B, line 11b An independent accounting firm prepares the 990. The Treasurer and Executive Director verify the amounts and other information on the Form 990. The Board Chair completes the review and signs off. The full board of directors is provided a copy of the form 990 prior to filing with the IRS. Form 990, Part VI, Section B, line 12c The Organization's conflict of interest policy applies to directors, officers, and members of a committee with governing board delegated powers. Conflicts are determined by the board shall determine whether a conflict exists. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The interested Director may be present for discussion to answer questions, but may not advocate for the action to be taken, cannot be included to establish a quorum for the meeting, and must leave the room while a vote is taken. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.
