All investment and banking decisions are subject to the approval of Misericordia Home. Funds raised by the Association are distributed to the supported organization. Because of this relationship, the supported organization has a significant voice in the timing and manner of making grants, as well as the use of income or assets. Section E, Line 2a: Misericordia Family Association is an auxiliary group which supports Misericordia Home, a 501(c)(3) corporation. The activities of Misericordia Family Association directly further the exempt purposes of the supported organization. These activities include assisting the family members of Misericordia Home, providing volunteer resources to the organization, supporting direct care staff, and providing a communications link between administration and family members. The members of the supported organization gain automatic membership in the Association. Section E, Line 2b: As an auxiliary organization, Misericordia Family Association's activities are supplemental to the purpose of Misericordia Home. Therefore, the activities constitute those that, but for the organization's involvement, would have normally been engaged in regardless. Form 990, Part VI, Section A, line 2 Several members of the Board are married couples. Form 990, Part VI, Section A, line 4 The following is a summary of the major changes to the By-Laws that were submitted to and approved by the MFA Membership on January 26, 2016. Details are specified in the actual By-Laws document. These changes occur in Article VIII-Finances: - The MFA Board can appoint and approve "Assistants" to help the Treasurer with the discharge of MFA financial tasks. This change was made in response to the great amount of work the Treasurer had to do, especially around the fundraising Benefit in June of each year. There are two types of Assistants: Payment Assistants and Non-Payment Assistants. - Payment Assistants (maximum of two) can assist the Treasurer in discharge of finances through checks, transfers, and electronic disbursements. Basically this means that they can write checks as required-subject to rules of use of the account. - Non-Payment Assistants (maximum of two) can assist the Treasurer in financial tasks other than the checks, transfers, and electronic disbursements. - All Payment Assistants serve for one year (August 1 to July 31) and must be reapproved by the MFA Board each year. The above points are the actual changes; though the entire Article VIII was reviewed and approved by the MFA members. Form 990, Part VI, Section A, line 6 Parents and guardians of residents of Misericordia shall have automatic membership in the Association. Parents and guardians of former residents of Misericordia may maintain membership in the Association if they notify the MFA Board of their preference. Form 990, Part VI, Section A, line 7a Candidates for election on the MFA Board of Directors are selected by a simple majority of the membership present at the spring meeting. Form 990, Part VI, Section A, line 7b Directors (Board Members) can be removed by two-thirds vote of the general membership of the MFA, present at a scheduled MFA meeting. Form 990, Part VI, Section B, line 11b Before the Form 990 and its attachments are filed, the Treasurer reviews the completed tax form with the Chaircouple.
