Houston First Corporation's right to appoint a Board member is specified.The business of the annual meeting is specified (election of Directors and officers, appoint the Advisory Board (if any), and appoint committees). The definition of a quorum for Board meetings is amended to one-quarter of the directors then in office (rather than just three directors). The President's term in office is set at two years, as compared to one year for the other officers. In addition to the Executive Committee, the Bylaws are amended to provide for standing committees as well as ad hoc committees.The Bylaws are amended to provide for an advisory board. Form 990, Part VI, Line 11b: Form 990 Review Process The 990 is presented to the Finance Committee for review and discussion. A final copy is provided to full board prior to filing. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts Members of the MATCH board complete disclosure statements annually and update them when changes occur from the disclosure statement on file with MATCH. If a conflict of interest is disclosed, a committee reviews the material facts associated with the potential conflict. If the committee determines a conflict exists, the member is separated from influencing all future board actions with respect to such conflict.
