Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts Each officer director and key employee is required to submit an annual statement disclosing any interests that could give rise to a conflict of interest. These responses are carefully reviewed by the board. Any noncompliance would be dealt with swiftly and appropriate corrective actions taken. Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees Compensation of the CEO is reviewed by the board of directors periodically. Any adjustments are made by the board after due consideration by the board at an executive session from which the CEO is exluded from attendance. The minutes of the session would be recorded contemporaneously by the board secretary. Compensation adjustments for other officers and employees are determined by the CEO using market data for comparable positions in the local area and due consideration given to employees performance and the availablity of budgeted funds to cover the wage adjustment.
