The board of directors selects a nomination committee with nominates new board members who may be voted on to the board. Form 990, Part VI, Section B, Line 11b The tax for 990 is provided to all board members prior to signature and filing. The board of directors review the document and approve it prior to filing. Form 990, Part VI, Section B, Line 12c Board members are provided with a copy of the policy at the beginning of each fiscal year. Each year board members must sign off on the policy stating if their is any conflict of interest and they understand and agree to abide by the policy. Form 990, Part VI, Section B, Line 15 The board of directors establish compensation for key staff including the program managers and the executive director of the organization. Form 990, Part VI, Section C, Line 19 All documents are available to the public upon request. TBAH employed an accountant to keep the books and complete the 990. The CPA stated that the tax return was completed and filed. However, notification from the IRS showed that the records had not been filed. Upon reviewing the information the board of directors requested a second overlook of the books to ensure accuracy. The accountant had not uploaded all data to the online accounting program. It has been very difficult to retrieve all records from the accountant. Going forward the academy is keeping all records in house and has hired an in house staff accountant as well as an outside accountant for review and to ensure that all filings are completed timely.
