<ExplanationTxt>MITCHELL HAMLINE SCHOOL OF LAW (MHSL), PUBLIC HEALTH LAW CENTER, INC. (PHLC) AND STUDENT BAR ASSOCIATION OF MITCHELL HAMLINE SCHOOL OF LAW (SBA) QUALIFY AS TAX-EXEMPT NOT-FOR-PROFIT ORGANIZATIONS OTHER THAN PRIVATE FOUNDATIONS UNDER SECTION 501(C)(3) OR 501(C)(4) OF THE INTERNAL REVENUE CODE AND SIMILAR STATUTES OF MINNESOTA LAW. MHSL AND ITS AFFILIATES FILE INCOME TAX RETURNS IN THE U.S. FEDERAL JURISDICTION AND IN THE STATE OF MINNESOTA. WHEN TAX RETURNS ARE FILED, IT IS HIGHLY CERTAIN THAT SOME POSITIONS TAKEN WOULD BE SUSTAINED UPON EXAMINATION BY THE TAXING AUTHORITIES, WHILE OTHERS MAY BE SUBJECT TO UNCERTAINTY ABOUT THE MERITS OF THE POSITION TAKEN OR THE AMOUNT OF TAX LIABILITY THAT MIGHT ULTIMATELY BE ASSESSED. SIGNIFICANT TAX POSITIONS TAKEN BY THE SCHOOL INCLUDE MAINTENANCE OF TAX-EXEMPT STATUS AND ACCURATE DETERMINATION AND REPORTING OF UNRELATED BUSINESS INCOME SUBJECT TO TAXATION. AS OF JUNE 30, 2017, AND FOR THE YEAR THEN ENDED, THERE ARE NO MATERIAL UNRECOGNIZED/DERECOGNIZED TAX BENEFITS OR TAX PENALTIES OR INTEREST. WITH FEW EXCEPTIONS, THE SCHOOL IS NO LONGER SUBJECT TO U.S. FEDERAL OR STATE INCOME TAX EXAMINATIONS BY AUTHORITIES FOR YEARS BEFORE FISCAL YEAR 2013.</ExplanationTxt>
