These include expenditures for advocacy on maintaining current tax provisions for forest owners, advocacy for promoting the carbon neutrality of forest biomass, and renovation costs for NAFO's DC offices. Government Relations: The Government Relations Program included expenses related to its dedicated government relations personnel, retainer fees for outside consultants, funding for undertakings of mutual interest with other associations, and expenses related to subscription services and software to support NAFO's advocacy efforts. DC Meeting: The DC Meeting Program included expenses related to the execution and production of NAFO's May meeting in Washington, D.C. The purpose of the meeting is to report the business of the Association to the Board of Directors and membership, as well as to review the Association's progress on strategic objectives. The board meeting is preceded by a day of advocacy meetings in Congress and with the Presidential Administration. Annual Meeting: The Annual Meeting Program includes expenses related to the execution and production of NAFO's annual meeting. As stated in NAFO's bylaws, the purpose of the annual meeting is to report the business of the association to the board and membership. The board approves the Association's annual budget and strategic plan. New directors and volunteers are also approved. The board meeting is preceded by a half day of educational panels. Form 990, Part VI, Section A, line 3 Interel US, Inc. (Interel) manages all aspects of the Organization's operations in accordance with the Organization's bylaws and policies. Interel provides staffing and infrastructure for non-profit organizations. Operations may include but are not limited to: administration, membership, finance/accounting, convention/tradeshow/meeting planning, education, marketing, information technology and government relations. Management fees, staffing and infrastructure costs paid to Interel totaled $2,069,410 for the year ended December 31, 2017. The Association's President and CEO is an employee of and was compensated by Interel. Form 990, Part VI, Section A, line 6 The Organization has dues paying members. Form 990, Part VI, Section A, line 7a The Board shall consist of Regular Member Directors and At-Large Directors. Regular Member Directors shall be those individuals appointed by a Regular Member, with each Regular Member entitled to appoint one (1) representative. At-Large Directors shall be selected from among representatives of Affiliate and Association Members. There shall be up to three (3) At-Large Directors. The President/CEO of the Association shall be a non-voting, ex-officio member of the Board. The At-Large Directors shall be appointed by the Regular Member Directors from a slate of nominees prepared by the Nominating and Membership Committee. The board members elect the officers. Form 990, Part VI, Section A, line 7b In all organizational proceedings of the Association, including approval of bylaws changes and ratification of Board, and at all meetings thereof, each voting member shall be entitled to one vote. Form 990, Part VI, Section B, line 11b The Financial Management Team, the President and CEO and the Finance and Audit Committee review the tax return before it is filed with the IRS. Form 990, Part VI, Section B, line 12c In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining board or committee members shall decide if a conflict of interest exists. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon.
