The board Chairman is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship. Compensation for CEO positions of similar size and mission type organizations were considered. The CEO's recommended compensation was presented and approved by the independent board. The process was documented in the board minutes. Form 990, Part VI, Section B, Line 15b: In the past the process for determining compensation for all employees, including the CEO, involved a matrix of job classification, job experience, tenure, whether they raised individual staff support, and geographic location.
