Prior to filing with the IRS, a copy was distributed to the entire board. All board members, staff, consultants, and contractors will file an annual statement with the president of the board setting forth any conflict of interest that might be expected to occur within the coming year. The disclosures are reviewed by the president of the board and any clear conflicts are sent to the executive committee for review if a conflict is determined. The board member who is involved, directly or indirectly, in a situation presenting an actual or potential conflict of interest shall not be counted in determining the existence of quorum at any meeting of the board where the matter giving rise to the conflict is considered. Nor shall they vote on any action of the board regarding that conflict. The conflicted director or employee may be asked to leave the meeting when the vote takes place.
