Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents 1) GWD increased the allowable size of the Board of Directors from its current size of 33 members to up 75 members.2) The required number of mandatory Board meetings was reduced from four meetings to three meetings per year.3) The revised bylaws allow for election of Board members for initital terms of one or two years so that if the opportunity to substantially increase the size of the Board in any one year arises, the traditional requirement that approximately 1/3 of the Board be up for re-election or replacement on an annual basis is retained.4) The authority of the Executive Committee to make most decisions relating to the Corporations business activities is clarified. However, reserved to the Board is the ultimate authority to modify this delegation to the Executive Committee at any time should it deem such action to be necessary. Also reserved solely to the Board (in Section 7.1) is control over a variety of strategic decisions that, if taken, might fundamentally alter the operations of the Corporation (e.g. mergers, dissolution, change of bylaws, etc.).
